REV: 02-24-25 LF AMENDMENT NO. 1 TO PRODUCTS AGREEMENT Nearmap US, Inc. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _____________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Nearmap US, Inc., a Delaware corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Products Agreement, dated as of January 26, 2022, (the “Original Agreement” or “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit “A,” incorporated herein by reference. C. While the Agreement expired on January 28, 2025, the Parties continued to work together in good faith under the terms of the Agreement to ensure continuation of the services described under the Agreement. The Parties now wish to formally renew the Agreement under the terms of the Agreement as amended by this Amendment No.1 and authorize the payments set forth in Exhibit A attached hereto for Services. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A” of this Amendment No. 1, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Eighty-Three Thousand Fifty-Eight Dollars ($83,058) for the completion of all the services described in Exhibit “A” of this Amendment No.1, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of One Hundred Thirty-Nine Thousand Two Hundred Fifty-Eight Dollars ($139,258). 3. The term of the Agreement is hereby extended for an additional three (3) year period. Including all extensions through this Amendment No. 1, the total term of the Agreement is six (6) years from January 28, 2022 to January 28, 2028, expiring on January 28, 2028. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. ATTY/AGR.2025/Amend. No.1/Nearmap (Page 1 of 5) April 24
