San Mateo County Transportation Authority/City of Redwood City/Manzanita Works <br />Essential Wheels E-bike Loaner Program <br />REV: 03-25-25 LF <br />19303926.3 <br />WHEREAS, the Project meets the intent of the 2018 Congestion Relief Plan, the TA’s <br />Strategic Plan 2020-2024, and the 2022 ACR/TDM Program; and <br />WHEREAS, on August 4, 2022, the TA’s Board of Directors programmed and allocated <br />up to $200,000 of Measure W funds from the ACR/TDM Program Category for the Project through <br />Resolution 2022-28 (Measure W Funds); and <br />WHEREAS, the Non-Profit will contribute $12,500 in local, state, federal, or other grant <br />matching funds for a total project scope of work cost of $212,500; and <br />WHEREAS, the TA and Co-Sponsors desire to enter into this Agreement to establish the <br />process, terms and conditions governing the allocation and expenditure of Measure W Funds on <br />the Project. <br />Now therefore, the Parties agree as follows: <br />SECTION 1: Scope of Work Oversight and Reporting <br />1.1 Sponsor Oversight; Work Plan. Non-Profit is responsible for the completion of the <br />Scope of Work as described in Exhibit A, “Scope of Work Information,” which is attached <br />to this Agreement and incorporated herein by this reference. Non-Profit is responsible for <br />procuring and administering any professional service and/or other contracts entered into in <br />connection with the Scope of Work. Co-Sponsors will oversee completion of the Scope of <br />Work. Non-Profit may appoint a designee or engage contractor(s) to perform work <br />necessary for Scope of Work completion, but Non-Profit remains responsible to the TA for <br />the completion of the Scope of Work. <br />1.2 Required Approvals. Prior to commencement of the Scope of Work, Non-Profit or its <br />designee (e.g., a consultant) will obtain all applicable local, state and federal approvals and <br />permits for the Scope of Work. In addition, Co-Sponsors must comply with all applicable <br />federal, state and local laws and regulations applicable to the Project. Any right-of-way <br />activities involving property on the Caltrans right-of-way must be conducted in accordance <br />with the current version of the Caltrans Right-of-Way manual. <br />1.3 Contract Award and Change Orders. Non-Profit must comply with state and local <br />agency requirements for the award of any contract(s) for the performance of the Scope of <br />Work and any change orders. As the Scope of Work proceeds, Non-Profit must advise the <br />TA of any contracts awarded and change orders as part of the regular progress reporting <br />requirements (Section 1.4). Notice of any contracts and change orders provided to the TA <br />will not constitute approval by the TA of the contracts and change orders nor obligate the <br />TA to provide funds in excess of its maximum contribution stated in Section 2.1 of this <br />Agreement. <br />ATTY/AGR.2025.051/Funding Agreement with San Mateo County Transportation Authority (Essential Wheels) (Page 2 of 19)
