REV: 04-29-25 VR <br />CANCELLATION <br />Any cancellation of Consultant services is subject to a cancellation charge. All <br />cancellations shall be in writing and shall not be effective until received by Consultant. A <br />charge equal to 25% of the estimated total invoice will be in effect if cancellation is made <br />more than 30 days prior to the Show Date. No refunds are made for cancellations due to <br />weather, PIC safety concerns, electromagnetic interference, failure of City to provide the <br />Responsible Items, or less than 30 days prior to Show Date under any circumstances. <br />Should adverse weather conditions or government imposed pandemic restrictions result <br />in a show cancellation, Consultant will work with City to reschedule the Drone Show to a <br />mutually acceptable date. There will be no extra charge except for any additional direct <br />expenses (travel, etc) incurred by Consultant due to the change in Show Date. <br />TERMS OF PAYMENT <br />City agrees to pay an initial deposit of $5,000 upon full execution of the Agreement. A <br />total amount of $73,750 will be due on June 13, 2025. The remaining balance of $8,750 <br />will be due upon satisfactory completion of the Drone Show. Price quoted includes taxes. <br />Consultant is responsible for paying all government fees, taxes, withholding taxes, duties, <br />VAT, etc that arise from the Drone Show, importation and use of the equipment at the <br />show location, or any other aspect of the Drone Show. <br />ATTY/AGR.2025.088/Skyrunner Drone Light Shows LLC (Skyrunner) (Page 12 of 13)
