REV: 04-09-25 LF Insurance will not be required if Subcontractor has no employees and provides, to the City’s satisfaction, a written declaration stating this. iv. Professional Liability Insurance. For design or engineering services or work provided hereunder, Subcontractor shall maintain insurance coverage that insures against professional errors and omissions that may be made in performing professional services with limits not less than $1,000,000 per claim and in the aggregate. Professional Liability may be written as claims-made coverage. Any policy inception date, continuity date, or retroactive date must be before the effective date of the start of work, and Vendor agrees to maintain continuous coverage through a period no less than three (3) years after completion of the work. b. Notice of Cancellation. This insurance will be in force during the life of the Agreement and any extensions of it and will not be canceled without Subcontractor providing thirty (30) days prior written notice to Subrecipient and City sent pursuant to the Notice provisions of this Agreement. c. Providing Certificates of Insurance and Endorsements. Prior to City’s execution of this Agreement, Subcontractor shall provide to Subrecipient certificates of insurance and above-referenced endorsements sufficient to and in accordance with this Agreement. In no event shall Subcontractor commence any work or provide any services under this Agreement until certificates of insurance and endorsements have been accepted by Subrecipient. d. Failure to Maintain Coverage. If Subcontractor fails to comply with these insurance requirements, then Subrecipient will have the option to declare Subcontractor in breach. e. Subrecipient reserves the right to require, at any time, complete copies of any or all required insurance policies and endorsements.
