REV: 04-09-25 LF <br />Insurance will not be required if Subcontractor has no employees and <br />provides, to the City’s satisfaction, a written declaration stating this. <br />iv. Professional Liability Insurance. For design or engineering services or <br />work provided hereunder, Subcontractor shall maintain insurance <br />coverage that insures against professional errors and omissions that <br />may be made in performing professional services with limits not less <br />than $1,000,000 per claim and in the aggregate. Professional Liability <br />may be written as claims-made coverage. Any policy inception date, <br />continuity date, or retroactive date must be before the effective date of <br />the start of work, and Vendor agrees to maintain continuous coverage <br />through a period no less than three (3) years after completion of the <br />work. <br />b. Notice of Cancellation. This insurance will be in force during the life of the <br />Agreement and any extensions of it and will not be canceled without Subcontractor <br />providing thirty (30) days prior written notice to Subrecipient and City sent pursuant <br />to the Notice provisions of this Agreement. <br />c. Providing Certificates of Insurance and Endorsements. Prior to City’s <br />execution of this Agreement, Subcontractor shall provide to Subrecipient <br />certificates of insurance and above-referenced endorsements sufficient to and in <br />accordance with this Agreement. In no event shall Subcontractor commence any <br />work or provide any services under this Agreement until certificates of insurance <br />and endorsements have been accepted by Subrecipient. <br />d. Failure to Maintain Coverage. If Subcontractor fails to comply with these <br />insurance requirements, then Subrecipient will have the option to declare <br />Subcontractor in breach. <br />e.
