extension of the lease term, which approval shall not be unreasonably withheld. The Teen Center Lease Agreement shall be executed prior to the issuance of the first Vertical Building Permit for the Project, and amendments to the Teen Center Lease Agreement, including any extensions to the term, shall be in writing, subject to approval by the Developer, City Attorney, and the City Manager is authorized to make said amendments on behalf of the City. 1. Essential Terms. In addition to other terms and general obligations as provided in Exhibit H, the Parties agree and acknowledge that the Teen Center Lease Agreement shall include the following key and essential terms: a. City’s Exclusive Use of Teen Center; Teen Center Hours. The Teen Center Lease shall provide the for the following: During the school academic year designated for the Sequioa Union High School District, the Teen Center shall be leased to the City without rent for its exclusive use during the hours of at least 2:00 p.m. to 11:59 p.m. on Mondays through Fridays, and 7:00 a.m. to 11:59 p.m. on weekends; and, during the summer school break for the Sequoia Union High School District, the Teen Center shall be leased to the City without rent for its exclusive use during the hours of at least 11:00 a.m. to 11:59 p.m. on Mondays through Fridays, and 7:00 a.m. to 11:59 p.m. on weekends (hereinafter collectively referred to as “Teen Center Hours”). The Parties acknowledge that the City may operate the Teen Center with a third-party operator, and that the City or its operator may access the Teen Center office space and storage areas before the Teen Center Hours for set-up, preparation, and/or discussions with staff. The City or its designated operator shall be responsible for all programming and staffing of the Teen Center, as well as administrating and managing the City’s use of the Teen Center during the Teen Center Hours. At such times, the City shall be solely responsible for the use and operation of the Teen Center space, including restoring the space to the condition it was in and maintaining, repairing and/or replacing any damage to the facilities or improvements therein caused by the City’s use. The City shall provide adequate insurance and shall indemnify and hold the Developer, and any tenant of the Property, harmless for the City’s use of the Teen Center, including the actions of guests and members of the public entering or using the Teen Center. b. Tenant Use. Other than the times designated for Teen Center Hours, the Developer, tenants of the Property or other parties authorized by the Developer (and/or tenant of the Property) may reserve the Teen Center during times that do not conflict with the City’s use. At such times, Developer shall be solely responsible for the use and operation of the Teen Center space, including restoring the space to the condition it was in and maintaining, repairing and/or replacing any damage to the facilities or improvements therein caused by the tenant’s use. c. Quarterly Meetings and Special Events. Once a quarter, or as may be adjusted by written agreement of the Developer and City over time pursuant to the Teen Center Lease, the Property’s office manager and the City shall meet to review operations and to consider requests by the City or by the Developer or a tenant of the Property for additional use hours or for special events. If all parties agree in writing to mutually agreeable terms, the City may use the Teen Center during school winter and spring breaks during the same times designated for the Teen Center Hours; and, the tenants of the Property may use the Teen Center during agreed upon times for special events during the times designated for the Teen Center Hours.
