extent that Borrower shall consent in writing to a further extension of time for the execution and <br />delivery of this Agreement. <br />822. Agreement Binding. This Agreement shall be binding upon and inure to the benefit <br />of the successors and assigns of the parties hereto. <br />823. Non -Liability of Officials and Employees of City. No member, official or <br />employee of City shall be personally liable to Borrower, or any successor in interest, in the event <br />of any default or breach by City or for any amount which may become due to Borrower or its <br />successors, or on any obligations under the terms of the Loan Documents. Borrower hereby waives <br />and releases any claim it may have against the members, officials or employees of City with respect <br />to any default or breach by City or for any amount which may become due to Borrower or its <br />successors, or on any obligations under the terms of the Loan Documents. Borrower makes such <br />release with full knowledge of Civil Code Section 1542 and hereby waives any and all rights <br />thereunder to the extent of this release, if such Section 1542 is applicable.
