fifteen (15) calendar days following Notice requesting such payment, from the date of such Notice <br />until paid in full. <br />2.12 Compliance. The Owner shall, during the Term and at the Owner's sole cost and <br />expense, in all material respects: (a) comply with all Laws; and (b) procure and comply with all <br />Approvals required by Law. <br />PROPERTY MANAGEMENT <br />3.1 Management. The Owner shall operate the Development in a manner that will <br />provide decent, safe and sanitary residential facilities to the occupants of the Development, will <br />comply with all the provisions of this Regulatory Agreement, any other applicable contract or <br />agreement between the City and the Owner, and all applicable Law. The Owner shall be <br />responsible for management of the Development, including, without limitation, the selection of <br />Qualifying Households for Affordable Units, certification and recertification of household size and <br />income for Qualifying Households occupying all Affordable Units, evictions, collection of rents <br />and deposits, maintenance, landscaping, routine and extraordinary repairs, replacement of capital <br />items, and security. The City shall have no responsibility for the management or operation of the <br />Development or the Property. For the purposes of this Regulatory Agreement, the Owner may <br />directly perform the management functions associated with the Development through its <br />employees or by means of a service contract with an Affiliate, without seeking approval from the <br />City. If the Owner desires to retain a Person other than the Owner or an Affiliate, to manage the <br />Development on the Owner's behalf, the Owner shall submit for City's approval the identity of <br />any proposed management agent, together with additional information relevant to the background <br />and experience of any proposed management agent, as reasonably requested by the City. The City <br />may approve the proposed management agent by Notice to the Owner within thirty (30) days <br />following the City's receipt of all requested information regarding such agent, as provided for in <br />the immediately preceding sentence. Unless the proposed management agent is reasonably <br />disapproved by the City within such thirty (3 0) day period, the management agent shall be deemed <br />approved by the City. The City hereby approves the Prodesse Property Group as the management <br />agent for the Development. <br />3.1.1 Performance Review. Upon Notice from the City, the Owner shall, with <br />the participation of the City, periodically review the management practices and financial status of <br />the Development and the Owner or management agent. The City shall not request such periodic <br />review more frequently than twice each calendar year. The purpose of each periodic review will <br />be to enable the City to determine whether or not the Development is being operated, maintained, <br />and managed in accordance with the requirements and standards of this Regulatory Agreement <br />and all applicable Law relevant to the Regulatory Agreement. <br />3.1.2 Replacement of Management Agent. Any contract for the operation or <br />management of the Development entered into by the Owner with a Person shall provide that the <br />contract shall have a term of no more than three (3) calendar year and that the contract is subject <br />to the provisions of this Regulatory Agreement. If the Affordable Units are not being operated <br />and managed materially in accordance with the requirements and standards of this Regulatory <br />Agreement and all applicable Law, the City shall provide written notice to the Owner of such <br />deficiency and shall within sixty (60) days following the receipt of such notice the Owner shall <br />REV: 05-20-25 LF <br />ATTY/AGR.2025.100.3/HEART-SV (417 Stambaugh - Regulatory Agreement) (Page 17 of 35) <br />
