1. 1.7 Bankruptcy Law. Title 11, United States Code, and any other or successor
<br />State or Federal statute relating to assignment for the benefit of creditors, appointment of a receiver
<br />or trustee, bankruptcy, composition, insolvency, moratorium, reorganization, or similar matters.
<br />1.1.8 Bankruptcy Proceeding. Any proceeding, whether voluntary or
<br />involuntary, under any Bankruptcy Law.
<br />1.1.9 City. The City of Redwood City, California, a municipal corporation.
<br />1.1.10 City Manager. The appointed City Manager of the City, or their designee.
<br />1.1.11 City Parties. Collectively, City, its governing body, elected officials,
<br />employees, agents and attorneys.
<br />1.1.12 City Party. Individually, City, its governing body, elected officials,
<br />employees, agents or attorneys.
<br />1.1.13 Claim. Any claim, loss, cost, damage, expense, liability, lien, action, cause
<br />of action (whether in tort, contract, under statute, at law, in equity or otherwise), charge, award,
<br />assessment, fine or penalty of any kind (including consultant and expert fees and expenses and
<br />investigation costs of whatever kind or nature, and if an Indemnitor improperly fails to provide a
<br />defense for an Indemnitee, then Legal Costs of counsel retained by the Indemnitee) and any
<br />judgment.
<br />1.1.14 Condemnation. Any of the following: (a) Any temporary or permanent
<br />taking of (or of the right to use or occupy) all or any part of the Property by condemnation, eminent
<br />domain, or any similar proceeding; or (b) any action by any Government not resulting in an actual
<br />transfer of an interest in (or of the right to use or occupy) all or any part of the Property, but creating
<br />a right to compensation, such as a change in grade of any street upon which the Property abuts.
<br />1.1.15 Control. Possession, directly or indirectly, of the power to direct or cause
<br />the direction of the management and policies of a Person and contractually bind such Person,
<br />whether by ownership of Equity Interests, by contract, or otherwise.
<br />1.1.16 County. The County of San Mateo, California.
<br />1.1.17 Deed of Trust. The Deed of Trust, executed by Owner as Trustor, in favor
<br />of the City as Beneficiary, of even date with this Regulatory Agreement.
<br />1.1.18 Default Interest. Interest at an annual rate equal to the lesser of. (a) eight
<br />percent (8%) per annum; or (b) the Usury Limit.
<br />1.1.19 Development. The improvements that have been constructed on the
<br />Property, which include an eight (8) unit multifamily residential housing development and
<br />associated amenities.
<br />1.1.20 Environmental Claim. Any and all claims, demands, damages, losses,
<br />liabilities, obligations, penalties, fines, actions, causes of action, judgments, suits, proceedings,
<br />costs, disbursements and expenses, including Legal Costs and fees and costs of environmental
