REV: 06-04-25 VR <br />AMENDMENT NO. 7 TO AGREEMENT FOR SERVICES <br />(ELS Architecture and Urban Design) <br />This Amendment No. 7 (the “Amendment No. 7”) is entered into and effective as <br />of _______________, 2025, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and ELS Architecture and Urban <br />Design, a California corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Design Professional <br />Agreement , dated as of June 26, 2018 (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement, dated as of March 3, 2020 (“Amendment No. 1”). <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement, dated as of September 30, 2021 (“Amendment No. 2”). <br />D. The Parties previously executed Amendment No. 3 to the Original <br />Agreement, dated as of July 28, 2023 (“Amendment No. 3”). <br />E. The Parties previously executed Amendment No. 4 to the Original <br />Agreement, dated as of March 15, 2024 (“Amendment No. 4”). <br />F. The Parties previously executed Amendment No. 5 to the Original <br />Agreement, dated as of August 1, 2024 (“Amendment No. 5”). <br />G. The Parties previously executed Amendment No. 6 to the Original <br />Agreement, dated as of February 13, 2025 (“Amendment No. 6”) (the Original Agreement <br />and Amendment Nos. 1-6 are collectively known as the “Agreement”). <br />H. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 7, including any terms and conditions of the attached Exhibit <br />“A,” incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of One Hundred Eighteen <br />Thousand Seven Hundred Ninety Two Dollars ($118,792) for the completion of all the <br />services described in Exhibit “A” of the Original Agreement / this Amendment No.7 proper <br />which sum will include all costs or expenses incurred by Consultant. Including all <br />amendments through Amendment No. 7, the total amount payable under the Agreement <br />will be a not-to-exceed amount of Nine Million Nine Hundred Thirty Thousand Twenty- <br />ATTY/AGR.2025/Amend.No. 7/ELS Architecture and Urban Design (Amendment No. 7 Agreement for Services) (Page 1 of 4) <br />6.J. - Page 14 of 17 <br />364
