REV: 06-04-25 VR AMENDMENT NO. 7 TO AGREEMENT FOR SERVICES (ELS Architecture and Urban Design) This Amendment No. 7 (the “Amendment No. 7”) is entered into and effective as of _______________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and ELS Architecture and Urban Design, a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Design Professional Agreement , dated as of June 26, 2018 (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement, dated as of March 3, 2020 (“Amendment No. 1”). C. The Parties previously executed Amendment No. 2 to the Original Agreement, dated as of September 30, 2021 (“Amendment No. 2”). D. The Parties previously executed Amendment No. 3 to the Original Agreement, dated as of July 28, 2023 (“Amendment No. 3”). E. The Parties previously executed Amendment No. 4 to the Original Agreement, dated as of March 15, 2024 (“Amendment No. 4”). F. The Parties previously executed Amendment No. 5 to the Original Agreement, dated as of August 1, 2024 (“Amendment No. 5”). G. The Parties previously executed Amendment No. 6 to the Original Agreement, dated as of February 13, 2025 (“Amendment No. 6”) (the Original Agreement and Amendment Nos. 1-6 are collectively known as the “Agreement”). H. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 7, including any terms and conditions of the attached Exhibit “A,” incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of One Hundred Eighteen Thousand Seven Hundred Ninety Two Dollars ($118,792) for the completion of all the services described in Exhibit “A” of the Original Agreement / this Amendment No.7 proper which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 7, the total amount payable under the Agreement will be a not-to-exceed amount of Nine Million Nine Hundred Thirty Thousand Twenty- ATTY/AGR.2025/Amend.No. 7/ELS Architecture and Urban Design (Amendment No. 7 Agreement for Services) (Page 1 of 4) June 27
