REV: 06-04-25 VR <br />AMENDMENT NO. 5 TO AGREEMENT FOR SERVICES <br /> Gilbane Building Company <br />This Amendment No. 5 (the “Amendment No. 5”) is entered into and effective as <br />of _________________, 2025, by and between the City of Redwood City, a charter city <br />and municipal corporation of the State of California (“City”), and Gilbane Building <br />Company, a Rhode Island Corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Professional Services <br />Agreement, dated as of September 16, 2019 (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />C. Agreement, dated as of October 7, 2021 (“Amendment No. 1”). The Parties <br />previously executed Amendment No. 2 to the Original Agreement, dated as of August 3, <br />2023 (“Amendment No. 2”). <br />D. The Parties previously executed Amendment No. 3 to the Original <br />Agreement, dated as of July 31, 2024 (“Amendment No. 3”). <br />E. The Parties previously executed Amendment No. 4 to the Original <br />Agreement, dated as of February 19, 2025 (“Amendment No. 4”). ( The Original <br />Agreement and Amendments No. 1, 2, 3 and 4 are collectively known as the <br />“Agreement”). <br />F. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 5, including any terms and conditions of the attached Exhibit <br />“A,” incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of One Hundred Sixty Two <br />Thousand Nine Hundred Ten Dollars ($162,910) for the completion of all the services <br />described in Exhibit “A” of this Amendment No. 5, which sum will include all costs or <br />expenses incurred by Consultant. Including all amendments through Amendment No. 5, <br />the total amount payable under the Agreement will be a not-to-exceed amount of Four <br />Million Eight Hundred Seven Thousand One Hundred Sixty Eight Dollars ($4,807,168). <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to the <br />Agreement will include coverage for this Amendment No. 5. <br />ATTY/AGR.2025/Amend.
