contemplated by this License, the exact amount of which will be extremely difficult to ascertain. <br />These costs include processing and accounting charges. Accordingly, if the Recurring Use Fee or <br />any other sum due from Licensee will not be received by City within fifteen (15) days after the <br />amount will be due, Licensee will pay to City a late charge of One Hundred Fifty Dollars ($150). <br />The Parties agree that the late charge represents a fair and reasonable estimate of the costs City <br />will incur by reason of any late payment by Licensee. Acceptance of a late charge by City neither <br />constitutes a waiver of Licensee's default with respect to an overdue amount, nor prevents City <br />from exercising any of the other rights and remedies available to City. <br />8. Required Insurance Coverages. Licensee's compliance with the provisions of this <br />Section 8 will in no way relieve or decrease Licensee's indemnification or other obligations under <br />this License. Licensee must maintain in force, during the full Term of this License, insurance in <br />the amounts and coverages listed below. In addition, Licensee will cause each Agent (defined in <br />Section 19 [Indemnity] below) performing work on the License Area to procure and keep in effect <br />during the course of any work appropriate amounts of insurance and add City as additional insureds <br />for those respective policies. <br />(a) Commercial General Liability Insurance with limits not less than $3,000,000 for <br />each occurrence for Bodily Injury and Property Damage, including Contractual Liability, Personal <br />Injury, Independent Contractors, Explosion, Collapse, and Underground (XCU), Broad Form <br />Property Damage and Products, and Completed Operations. <br />(b) Commercial Automobile Liability Insurance with limits not less than $2,000,000 <br />for each occurrence, "Combined Single Limit" for Bodily Injury and Property Damage, including <br />Owned, Non -Owned, and Hired auto coverage, as applicable. <br />(c) Workers' Compensation, in statutory amounts, with Employers' Liability Limits <br />not less than $1,000,000 for each accident, injury, or illness. <br />(d) Additional Insured Endorsements. The Commercial General Liability and <br />Commercial Automobile Liability Insurance policies must be endorsed to name as Additional <br />Insured the City and County of San Francisco, its Officers, Agents, and Employees. <br />(e) Waiver of Subrogation Endorsements. The Workers' Compensation policy(ies) <br />and all Liability Policies referenced above will be endorsed with a waiver of subrogation in favor <br />of City for all work performed by Licensee or its Agents. <br />(1) Primary Insurance Endorsements. <br />(i) The Commercial General Liability policy will provide that the policies are <br />primary insurance to any other insurance available to the Additional Insureds, with respect to any <br />claims arising out of this License, and that the insurance applies separately to each insured against <br />whom claim is made or suit is brought. <br />(ii) The Commercial Automobile Liability Insurance policy will provide that <br />the policies are primary insurance to any other insurance available to the Additional Insureds, with <br />respect to any claims arising out of this License, and that the insurance applies separately to each <br />insured against whom claim is made or suit is brought. <br />I I Rev.
