Attachment 5 to Exhibit D <br />ATTY/AGR/2025/AMEND NO.2 – YMCA MASTER PROJECT AGREEMENT <br />REV: 07-17-25 VR <br />Attachment 5 <br />Prohibited and Restricted Uses <br />The following uses are prohibited under this Lease. All terms under this Attachment 5 shall have the <br />meanings normally given to such terms. <br />1. No portion of the YMCA Site shall be used for any of the following purposes: an <br />establishment engaged in the business of selling, exhibiting or delivering pornographic or obscene <br />materials; a so-called “head shop”; off-track betting parlor; a warehouse; a discotheque, adult <br />entertainment facility; bowling alley; skating rink; billiard or pool hall; massage parlor; a beauty <br />school, barber college; industrial, residential or manufacturing uses; house of worship; a medical <br />marijuana dispensary or other business or activity related to the cultivation, possession, manufacture, <br />processing, storing, laboratory testing, labeling, transporting, distribution or sale of medical <br />marijuana or a medical marijuana product or device; bar, tavern or cocktail lounge, unless it is for <br />individual or special events (i.e. annual fundraiser) in which no off site sales are made and only on- <br />premises consumption is allowed. <br />2. No portion of the YMCA Site shall be used (i) for the maintenance of any nuisance or the <br />conduct of any activity that violates public policy; (ii) for any activity that physically interferes with <br />the business of any other owner or occupant of any other parcel or property on the Project Site; (iii) <br />in violation of any law or governmental regulation; (iv) for the storage of any items or vehicles, other <br />than the storage of items within the confines of any building located within the YMCA Site, which <br />items are incidental to the business conducted thereon, and other than trash to be stored in appropriate <br />containers within an enclosed trash area; (v) to permit advertising media which can be heard or <br />experienced from the exterior of the YMCA Site, from which it emanates, such as flashing lights, <br />searchlights, loudspeakers, phonographs, radios, televisions or any computer devices, in violation of <br />the Redwood City Municipal Code; (vi) or for any other unreasonable use not compatible with the <br />operation of the Project Site or in violation of the Redwood City Municipal Code. <br /> <br />Page 37 of 50
