<br /> Attachment 8 to Exhibit D <br />ATTY/AGR/2025/AMEND NO.2 – YMCA MASTER PROJECT AGREEMENT <br />REV: 07-17-25 VR <br />ATTACHMENT 8 <br />Confirmation of Lease Term <br />This Confirmation of Lease Term is made by and between the CITY OF REDWOOD CITY, a <br />charter city and California municipal corporation, as Landlord, and YOUNG MEN'S CHRISTIAN <br />ASSOCIATION OF SILICON VALLEY, a California non-profit public benefit corporation (a/k/a <br />YMCA of Silicon Valley), as Tenant, who agree as follows: <br />1. Landlord and Tenant entered into a Ground Lease dated ____________, 20__ (“Lease”), in <br />which Landlord ground leased to Tenant and Tenant ground leased from Landlord the YMCA Site <br />(as defined in the Lease). <br />2. Landlord and Tenant agree to confirm the Lease Term as follows: <br />a. __________________, 20__, is the Commencement Date. <br />b. Tenant received it first (temporary or final) certificate of occupancy for the New <br />YMCA on _____________, 20__. <br />c. __________________, 20__, is the Expiration Date. <br />3. Tenant hereby confirms that the Lease is in full force and effect and that the Lease has not <br />been modified, altered or amended, except as follows: <br />____________________________________________________________________; <br />4. The provisions of this Confirmation of Lease Term shall inure to the benefit of, or bind, as <br />the case may require, the parties and their respective successors, subject to the restrictions on <br />transfer and subleasing contained in the Lease. <br /> <br />[Signatures on next page] <br />Page 49 of 50
