REV: 06-11-25 VR AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES (West Coast Code Consultants, Inc.) This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of ____________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and West Coast Code Consultants, a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services dated as of September 1, 2023 (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement, dated as of July 26, 2024 (“Amendment No. 1”) and Amendment No. 2, dated as of April 28, 2025 (“Amendment No. 2”). (The Original Agreement and Amendments No. 1, 2, and 3 are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of One Million Seven-Hundred Thirty-Eight Thousand Five-Hundred Sixty Dollars ($1,738,560) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through this Amendment No. 3, the total amount payable under the Agreement will be a not-to-exceed amount of Six Million Two-Hundred Seventy-Seven Thousand One-Hundred Twenty Dollars ($6,277,120). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 3. 4. The individuals executing this Amendment No. 3 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 3. 5. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 3. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this ATTY/AGR.2025/Amend.
