REV: 07-25-25 VR AMENDMENT NO. 7 TO AGREEMENT FOR SERVICES BeingLab, LLC This Amendment No. 7 (the “Amendment No. 7”) is entered into and effective as of ____________, 2025 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and BeingLab, LLC, a California limited liability company (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of May 28, 2021, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of July 7, 2021, Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of November 24, 2021, Amendment No. 3 to the Original Agreement (“Amendment No. 3”), dated as of January 25, 2022, Amendment No. 4 to the Original Agreement (“Amendment No. 4”), dated as of March 17, 2022, Amendment No. 5 to the Original Agreement (“Amendment No. 5”), dated as of July 12, 2022, and Amendment No. 6 to the Original Agreement (“Amendment No. 6”), dated as of December 12, 2022 (the “Original Agreement” and “Amendments No. 1-6” are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 7. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Thirty Thousand Dollars ($30,000) for the completion of all the services described in Exhibit “A” of the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 7, the total amount payable under the Agreement will be a not-to-exceed amount of Ninety Six Thousand Seven Hundred Dollars ($96,700). 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 7. 4. The individuals executing this Amendment No. 7 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 7.
