E204 (Products and Services) <br />REV: 07-22-25 MI <br />February 14, 2025 <br />Master Agreement <br />Products and Services <br />Agreement No. 00341958.0 <br />This Master Agreement (“Agreement”) is between the entity shown below (“Customer”) and Environmental <br />Systems Research Institute, Inc. (“Esri”), a California corporation with a place of business at 380 New York <br />Street, Redlands, California 92373-8100 USA. <br />This Agreement is the sole and entire agreement of the parties as to the subject matter of this Agreement and <br />supersedes any previous agreements, understandings, and arrangements relating to such subject matter. Neither <br />party has relied on any statement, representation, or warranty not expressly stated in this Agreement. This <br />Agreement comprises this signature page, the terms and conditions that begin on the following page, and all <br />referenced attachments. Except for Product or Service descriptions, quantities, pricing, and delivery instructions, <br />or as agreed in an Ordering Document signed by both parties, all terms included in any Ordering Document are <br />void and of no effect. Any modification(s) or amendment(s) to this Agreement must be in writing and signed by both <br />parties. <br />The parties may sign this Agreement in counterparts via electronic signatures; such execution is valid even if an <br />original paper document bearing both parties’ original signatures is not delivered.
