REV: 07-07-25 LF AMENDMENT NO. 2 TO AGREEMENT FOR CONSULTANT SERVICES (Friends for Youth, Inc) This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of ____________ 2025, by and between Friends for Youth, Inc., a California non-profit corporation, (“Consultant”), REDWOOD CITY TOGETHER (a collaboration compromised of eight partners, including City of Redwood City, Redwood City Elementary School District, Sequoia Union High School District, County of San Mateo (Health), County of San Mateo (Human Services Agency), Sequoia Healthcare District, John W. Gardner Center for Youth and Their Communities at Stanford University (Stanford University), and Kaiser Permanente Health Plan, Inc.), and CITY OF REDWOOD CITY (“City”) acting as Fiscal Agent for Redwood City Together(collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Consultant Services, dated as of August 2nd, 2024 (the “Original Agreement”). B. The Parties previously executed Amendment No.1 to the Original Agreement, dated as of March 7th, 2025 (“Amendment No. 1”) (the Original Agreement and Amendment No. 1 are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. The term of the Agreement is hereby extended for an additional 4 month period. Including all extensions through this Amendment No. 2, the total term of the Agreement is One Year Two Months and Thirty Days, expiring on October 30, 2025. 2. All other provisions of the Agreement will remain in full force and effect. 3. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No.2. 4. The individuals executing this Amendment No.2 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No.2. 5. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No.2. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this ATTY/AGR.2025/Amend.
