CONSENT TO ASSIGNMENT <br />As you are aware, Baker & Taylor, LLC. (“Baker & Taylor”) and ReaderLink Distribution Services, LLC (“ReaderLink”) <br />have announced that they have entered into a Letter of Intent whereby ReaderLink will acquire the business and <br />substantially all the assets of Baker & Taylor on or about September 26, 2025 (the “Closing Date”). As part of this <br />transaction, your written agreements with Baker & Taylor are expected to be assigned to, and assumed by, <br />ReaderLink as of the Closing Date. We are asking for your consent to this assignment and assumption. <br />We are pleased to confirm that many of the current Baker & Taylor management team and employees are expected <br />to join the ReaderLink team and continue to serve your needs. We anticipate this will be seamless to you, as <br />ReaderLink will assume any and all Baker & Taylor obligations arising from and after the Closing Date under those <br />written agreements and will honor the related pricing, payment terms, prepaid contracts and subscriptions, quotas, <br />deposits and account credits; provided, however, if you do not return this signed consent by or before the date <br />below, then ReaderLink will be unable, without their assignment, to recognize and honor those unassigned <br />contracts and subscriptions, quotas, deposits, or account credits. <br />PLEASE CONFIRM YOUR CONSENT TO THIS ASSIGNMENT AND ASSUMPTION BY SIGNING THIS “CONSENT TO <br />ASSIGNMENT” FORM AND RETURNING IT TO BAKER & TAYLOR NO LATER THAN FRIDAY, SEPTEMBER 19, 2025. <br />You may email your signed Consent to Assignment form to assignments@baker-taylor.com. <br />By signing this Consent to Assignment, the Customer <br />named herein consents to the assignment to and <br />assumption by ReaderLink of this Customer’s written <br />agreements with Baker & Taylor as of the Closing <br />Date. <br />Customer: <br />By: __________________________________________ <br />Name/Title: ___________________________________ <br />Contract / RFP #:_______________________________ <br />Contract Bid/RFP Name:_________________________ <br />7.E. - Page 4 of 28 <br />157
