CONSENT TO ASSIGNMENT <br />As you are aware, Baker & Taylor, LLC. (“Baker & Taylor”) and ReaderLink Distribution Services, LLC (“ReaderLink”) <br />have announced that they have entered into a Letter of Intent whereby ReaderLink will acquire the business and <br />substantially all the assets of Baker & Taylor on or about September 26, 2025 (the “Closing Date”). As part of this <br />transaction, your written agreements with Baker & Taylor are expected to be assigned to, and assumed by, <br />ReaderLink as of the Closing Date. We are asking for your consent to this assignment and assumption. <br />We are pleased to confirm that many of the current Baker & Taylor management team and employees are expected <br />to join the ReaderLink team and continue to serve your needs.
