Redwood City Together <br />2025 – 2028 Legal Services Agreement <br />Page 2 <br />its intent to terminate, and that it provides the date on which it wishes to cease <br />providing legal services. <br />4.The Client shall pay the County Attorney for services rendered between July 1, 2025 – <br />June 30, 2026, at an attorney hourly rate of $265 and a paralegal hourly rate of $145. The <br />These rates are subject to change once a year, usually on July 1. Additionally, the Client <br />shall pay the actual costs of any out-of-pocket expenses incurred by the County Attorney <br />in connection with the provision of its legal services, e.g., filing fees, extraordinary <br />mailing costs, deposition costs, transcript costs, outside counsel fees, etc. <br />5.Charges for services rendered pursuant to the terms and conditions of this Agreement <br />shall be billed one month in arrears. Time will be billed in tenth-hour (0.1) <br />increments, rounded off for each particular activity to the nearest tenth-hour. The <br />minimum charged for any particular activity will be one tenth-hour (0.1). Payment <br />shall be made by the Client within thirty (30) days of the invoice date. <br />6.The Client understands that the County of San Mateo (“County”) is the County <br />Attorney’s primary client. Should there be a conflict between the Client and the <br />County in a matter, the Client hereby consents to the County Attorney’s withdrawal <br />of representation of the Client in order for the County Attorney to represent the <br />County in any such matters, unless such waiver is inconsistent with state law. Upon <br />execution of this Agreement, the Client agrees to execute the Notice and Waiver of <br />Conflict attached hereto as Exhibit B, incorporated herein by this reference, so that <br />the County Attorney may continue to represent the County and the Client in the <br />absence of actual conflict, as described more fully in Exhibit B. <br />7.Upon the termination of this Agreement for any reason: (a) subject to any applicable <br />protective order, non-disclosure agreement, statute or regulation, the County Attorney <br />promptly shall, at the Client’s request, release to the Client all the Client’s materials <br />and property, which includes correspondence, pleadings, deposition transcripts, <br />experts’ reports and other writings, exhibits, and physical evidence, whether in <br />tangible, electronic or other form, and other items reasonably necessary to the <br />Client’s representation, whether the Client has paid for them or not; and (b) the <br />County Attorney promptly shall refund any part of a fee or expense paid in advance <br />by the Client that the County Attorney has not earned or incurred—provided, <br />however, this provision is not applicable to a true retainer fee paid solely for the <br />purpose of ensuring the availability of the County Attorney for the matter. <br />ATTY/AGR/2025.163 - RWC TOGETHER RETAINER AGREEMENT <br />REV: 07-11-25 VR Page 2 of 7
