REV: 09-02-25 LF AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES NAZ & CO. dba True Blue Automation Services This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of September 20, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and NAZ & CO. dba True Blue Automation Services, a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of September 20, 2024, (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of Eight Hundred Thirty-Six Thousand Three Hundred Sixty Dollars ($836,360) for the completion of all the services described in Exhibit “A” of the Agreement, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of One Million Two Hundred Thirty-Six Thousand Three Hundred Sixty Dollars ($1,236,360). 2. The term of the Agreement is hereby extended for an additional two year period. Including all extensions through this Amendment No. 1, the total term of the Agreement is three (3) years, expiring on September 19, 2027. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment No. 1. 6. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 1. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment No. 1 based on the use of an electronic signature.
