This Agreement will be governed by and interpreted <br />in accordance with the laws of the State of California. Any action or proceeding by either of the <br />Parties to enforce this Agreement shall be brought in any state or federal court located in the state <br />of California, County of San Mateo. The Parties irrevocably submit to the exclusive jurisdiction <br />of these courts and waive the defense of inconvenient forum to the maintenance of any action or <br />proceeding in such venue. <br /> <br />18. Electronic Signatures and Copies. Electronic signatures may be used in place of <br />original signatures on this Agreement. The Parties intend to be bound by the signatures on the <br />electronic document and hereby waive any defenses to the enforcement of the terms of this <br />Agreement based on the use of an electronic signature.
