<br />AS TO AN UNDIVIDED % INTEREST AND GRANITE ROCK COMPANY, A PROJECT PARCEL NO. 64077
<br />CALIFORNIA CORPORATION, AS TO AN UNDIVIDED I/2 INTEREST
<br />PROJECT: US HIGHWAY 101 / STATE ROUTE 84 (WOODSIDE ROAD) INTERCHANGE IMPROVEMENT PROJECT
<br />iii. Easements or rights of way over said land for public or quasi -
<br />public utility or public street purposes, if any.
<br />B. This sum includes all claims for compensation including, without limitation, the
<br />acquisition of the Subject Property, any severance damages, inverse
<br />condemnation, loss of business goodwill, interest, attorneys' and witness fees,
<br />costs, and any and all other claims relating in any way to acquisition by CITY of
<br />the Subject Property, or from the construction and use thereon of the Project as
<br />proposed, planned and designed, and Grantor is not entitled to any further
<br />compensation herein.
<br />C. Pay all escrow and recording fees incurred in this transaction and, if title insurance
<br />is desired by CITY, the premium charged therefore. (Said escrow and recording
<br />charges shall not, however, include documentary transfer tax.)
<br />D. Have the authority to deduct and pay from the amount shown in Clause 2(A) herein
<br />any amount necessary to satisfy any bond demands and delinquent taxes due in
<br />any year except the year in which this escrow closes, together with penalties and
<br />interest thereon, and/or delinquent and unpaid nondelinquent assessments which
<br />have become a lien at the close of escrow.
<br />E. This transaction will be handled through an escrow by First American Title
<br />Insurance Company at 2230 East Bidwell Street, Suite 100, Folsom, CA 95630,
<br />for the account of the GRANTOR, Escrow No. is to be determined, conditioned
<br />upon the Subject Property vesting in the CITY free and clear of all liens, leases,
<br />encumbrances, (recorded or unrecorded), assessments and taxes except any
<br />exceptions to title which are acceptable to the CITY as said exceptions are
<br />identified in the Preliminary Report relating to the property of which the Subject
<br />Property is a part issued by the above Title Company, dated September 12, 2024,
<br />and updated thereof. Clearing of any title exceptions not acceptable to the CITY
<br />is the responsibility of the GRANTOR.
<br />F_ The consideration set forth in Clause 2A herein shall include payment in full for the
<br />following improvements: Asphalt paving (60 SF), Small shrubs (10), Medium
<br />shrubs (5), PVC Irrigation lines (100 LF), Drip line (1), which are owned by
<br />GRANTOR as owner or tenant of the real property proposed to be acquired will
<br />also be conveyed unless other disposition of these improvements has been made.
<br />Temporary Construction Easement (Non -Revocable).
<br />A. Permission is hereby granted to the CITY, its employees, contractors and/or its
<br />designees or assignees to enter upon that certain area identified in Exhibit "2" for
<br />the purpose of a temporary construction easement (TCE) where necessary with
<br />personnel, vehicles and equipment.
<br />B. The rights of usage of the TICE shall be for a period of 36 months. At least ten
<br />(10) business days advance written notice will be given to GRANTOR before work
<br />is commenced within the TCE. It is further understood that in no event shall the
<br />TICE extend beyond the project construction completion or June 30, 2029,
<br />whichever is earlier, except as provided in 3(C) below.
