, Docusign Envelope ID: E798FFDB-2346-4993-A39D-3A6381A6D239 <br />GRANTOR: FN VETERANS LLC, A CALIFORNIA LIMITED LIABILITY COMPANY APN: 052-431-010 (portion of) <br />PROJECT PARCEL NO. 64076 <br />PROJECT: US HIGHWAY 101 I STATE ROUTE 84 (WOODSIDE ROAD) INTERCHANGE IMPROVEMENT PROJECT <br />B. This sum includes all claims for compensation including, without limitation, the <br />acquisition of the Subject Property, any severance damages, inverse <br />condemnation, loss of business goodwill, interest, attorneys' and witness fees, <br />costs, and any and all other claims relating in any way to acquisition by CITY of <br />the Subject Property, or from the construction and use thereon of the Project as <br />proposed, planned and designed, and Grantor is not entitled to any further <br />compensation herein. <br />C. Pay all escrow and recording fees incurred in this transaction and, if title <br />insurance is desired by CITY, the premium charged therefore. (Said escrow and <br />recording charges shall not, however, include documentary transfer tax.) <br />D. Have the authority to deduct and pay from the amount shown in Clause 2(A) <br />herein any amount necessary to satisfy any bond demands and delinquent taxes <br />due in any year except the year in which this escrow closes, together with <br />penalties and interest thereon, and/or delinquent and unpaid nondelinquent <br />assessments which have become a lien at the close of escrow. <br />E. This transaction will be handled through an escrow by First American Title <br />Insurance Company at 2230 East Bidwell Street, Suite 100, Folsom, CA 95630, <br />for the account of the GRANTOR, Escrow No. is to be determined, conditioned <br />upon the Subject Property vesting in the CITY free and clear of all liens, leases, <br />encumbrances, (recorded or unrecorded), assessments and taxes except any <br />exceptions to title which are acceptable to the CITY as said exceptions are <br />identified in the Preliminary Report relating to the property of which the Subject <br />Property is a part issued by the above Title Company, dated September 13, <br />2024, and updated thereof. Clearing of any title exceptions not acceptable to the <br />CITY is the responsibility of the GRANTOR. <br />F. The consideration set forth in Clause 2A herein shall include payment in full for <br />the following improvements: All buildings, structures and other improvements <br />affixed to the land which are owned by GRANTOR as owner or tenant of the real <br />property proposed to be acquired will also be conveyed unless other disposition <br />of these improvements has been made. Specifically, asphalt paving (18+/- SF) <br />within the Subject Property. <br />3. TemDorary Construction Easement (Non -Revocable <br />A. Permission is hereby granted to the CITY, its employees, contractors and/or its <br />designees or assignees to enter upon that certain area identified in Exhibit "2" for <br />the purpose of a temporary construction easement (TCE) where necessary with <br />personnel, vehicles and equipment. <br />B. The rights of usage of the TCE shall be for a period of 36 months. At least ten <br />(10) business days advance written notice will be given to GRANTOR before <br />work is commenced within the TCE. It is further understood that in no event shall <br />the TCE extend beyond the project construction completion or June 30, 2029, <br />whichever is earlier, except as provided in 3(C) below. <br />C.
