Code § 27383] <br />GRANT DEED <br />This Grant Deed is made on , 2025 by and between Metropolitan <br />Life Insurance Company, a New York corporation ("Grantor") and City of Redwood City, a <br />municipal corporation ("City") with reference to the following facts: <br />A. Grantor is the fee owner of the property identified as Assessor Parcel Numbers <br />054-320-080, 054-320-090, 054-320-100, 054-320-110, 054-320-140, 054-320-210, 054-320- <br />220, 054-320-230, 054-320-240, 054-320-160, 054-320-250, 054-320-260, 054-320-300, 054- <br />320-190, and 054-320-200 (collectively, "MetLife Property"). <br />B. In 1984, Grantor and a neighboring property owner's predecessors in interest <br />constructed levee improvements and flood protection facilities along the perimeters of the <br />MetLife Property and certain adjacent properties (the "Original Seaport Centre Levee"), and <br />the City accepted ownership of the Original Seaport Centre Levee and related storm drain, water, <br />and sanitary sewer facilities by a Deed of Conveyance dated December 16, 1985, recorded on <br />January 10, 1986 as Instrument Number 86003623 ("Original Grant Deed"). <br />C. Pursuant to a Levee Financing and Improvement Agreement between Grantor, <br />City, HCP LS Redwood City, LLC ("HCP"), and Seaport Centre Owners' Association <br />("SCOA") dated October 27, 2020, as amended by that certain First Amendment to Levee <br />Financing and Improvement Agreement dated December 13, 2021 and the Second Amendment <br />to the Levee Financing and Improvement Agreement dated 2025, SCOA <br />improved the Original Seaport Centre Levee and constructed new levee improvements and <br />related flood protection facilities along the perimeter of Assessor Parcel Number 054-320-540 <br />(collectively, the "Levee Improvement Project") to provide greater flood protection to the Met <br />Life Property, the property owned by HCP, and certain adjacent property owned by City. City <br />also agreed to accept ownership of the completed improvements contemplated by the Levee <br />Improvement Project. <br />D. The Levee Improvement Project is now complete and Grantor desires to grant <br />City the Current Levee hnprovements (defined below), as further described herein. The Current <br />Levee Improvements include both portions of the Original Seaport Centre Levee and new <br />improvements contemplated by the Levee Improvement Project. <br />2025.276 - SEAPORT PURCHASE AGREEMENT <br />REV: 10-15-25 VR <br />
