WILLIAMS & SORENSEN, LLP <br />Page 7 <br />Because City is a political subdivision of the State of California, it is a tax-exempt entity <br />and, therefore, real property taxes, bonds and assessments that are a lien customarily <br />paid with real property taxes (if any) shall not be prorated. <br />These Joint Instructions are the joint instructions of the Parties, and have been <br />reviewed and approved by the Parties' counsel. Notwithstanding anything to the <br />contrary herein, these Joint Instructions may not be modified unless you receive <br />additional written instructions from the parties hereto. <br />Title Company will receive a counterpart of these Joint Instructions executed by legal <br />counsel representing each of the Parties indicating that the respective Parties consent <br />to and join in these Joint Instructions.
