Code § 27383] <br />EASEMENT DEED <br />This Easement Deed is made effective as of 2025, between HCP LS <br />Redwood City, LLC, a Delaware limited liability company ("Grantor") and City of Redwood <br />City, a municipal corporation ("City"). <br />A. Grantor is the fee owner of the property identified as Assessor Parcel Numbers <br />054-320-310, 054-320-320, 054-320-330, 054-320-340, 054-320-350, 054-320-360, 054-320- <br />370, 054-320-380, 054-320-400, 054-320-410, 054-320-420, 054-320-430, 054-320-440, 054- <br />320-450, 054-320-460, 054-320-540, and that certain unassessed parcel identified as Lot 8 on <br />the map filed October 15, 1987 in volume 117 of maps at pages 22 through 26 inclusive in the <br />Office of the Recorder of the County of San Mateo (collectively, "HCP Property"). <br />B. In 1984, Grantor and a neighboring property owner's predecessors in interest <br />constructed levee improvements and flood protection facilities along the perimeters of the HCP <br />Property (excepting Assessor Parcel Number 054-320-540) and certain adjacent properties (the <br />"Original Seaport Centre Levee"); the City accepted ownership of the Original Seaport Centre <br />Levee and related storm drain, water, and sanitary sewer facilities by a Deed of Conveyance <br />dated December 16, 1985; and the City also accepted a Deed of Easements dated December 30, <br />1985, recorded on January 10, 1986 as Instrument Number 86003619 ("Original Levee <br />Easement Deed") which granted City easements in certain portions of the HCP Property <br />("Original Levee Easement Areas") for the purpose of accessing, operating, improving, and <br />maintaining the Original Seaport Centre Levee and the related storm drain, water, and sanitary <br />sewer facilities. <br />C. Pursuant to a Levee Financing and Improvement Agreement between Grantor, <br />City, Metropolitan Life Insurance Company ("Met Life"), and Seaport Centre Owners' <br />Association ("SCOA") dated October 27, 2020, as amended by that certain First Amendment to <br />Levee Financing and Improvement Agreement dated December 13, 2021 and the Second <br />Amendment to the Levee Financing and Improvement Agreement dated 2025, <br />SCOA improved the Original Seaport Centre Levee and constructed new levee improvements <br />and related flood protection facilities along the perimeter of Assessor Parcel Number 054-320- <br />540 (collectively, the "Levee Improvement Project") to provide greater flood protection to the <br />HCP Property, the property owned by MetLife, and certain adjacent property owned by City. <br />City also agreed to accept ownership of the completed improvements contemplated by the Levee <br />Improvement Project ("Current Levee Improvements"). <br />2025.276 - SEAPORT PURCHASE AGREEMENT <br />REV: 10-15-25 VR <br />
