Without limiting the generality of Recipient’s obligations pursuant to Section 14, Recipient will be responsible for, and hold City harmless from, any failure to adhere to such standards. Recipient will verify that all activities funded hereunder benefit only residents within City’s corporate limits. Recipient’s commitment to hold City harmless pursuant to this Section 5 shall survive the expiration or termination of this Agreement. 6. MID-YEAR AND ANNUAL REPORTS. Recipient shall submit to City’s Human Services Coordinator a mid-year and an annual program report documenting Recipient’s success in meeting the Program objectives described in Exhibit “A.” The mid- year program report is due on January 31, 2026. The annual program report is due on July 31, 2026. If Recipient shall fail to submit its report on a timely basis, City may disqualify Recipient from applying for future funding. Annual program report shall also include an expenditure report and the total number of direct beneficiaries with demographic information regarding income, household composition, ethnicity, age and other data as required by City and shall be submitted on forms provided by City’s Human Services Coordinator. In the event that the Recipient has not expended all of the funds granted, Recipient shall return by check to the City the amount not spent. 7. FINANCIAL STATEMENT/ANALYSIS; AUDIT. Recipient shall make available to City, or the public, upon request, a financial statement and analysis (“Financial Statement”) setting forth in detail the manner in which, and the specific purposes for which, the funds paid hereunder were expended to the date of such accounting. In addition to the foregoing, and in any event, Recipient shall submit to City no later than July 31, 2026, a copy of the Recipient’s or Program’s Financial Statement. Said statement will be submitted with the annual program report pursuant to Section 6. Recipient will provide City with an annual independent audit of its activities and finances, conducted in accordance with generally accepted auditing standards covering financial and compliance audits and in accordance with any federal or state auditing standards applicable to Recipient, including, without limitation, the Single Audit Act of 1984 and 2 CFR Part 215, 2 CFR Part 215, and 2 CFR Part 230. Audits shall be submitted to the City with the annual program report pursuant to Section 6. 8. TERMINATION. Either party may terminate this Agreement without cause at any time during the term hereof by giving the other party not less than thirty (30) days’ prior written notice of such termination. In the event of such termination, Recipient will submit a final report for any expenditure incurred prior to the date of termination. Recipient shall submit to City a final report of activities funded hereunder within thirty (30) days from the date of termination. Recipient shall also return to City any and all unexpended funds as of the date of termination, within thirty (30) days from the date of termination. Nothing contained in this Section 8 shall be deemed to limit the right of the Parties to terminate this Agreement for cause or otherwise to exercise any right or pursue any remedy which may accrue to them.
