Contract Provisions Guide <br />31 <br /> <br />1.2 Additional Suggested Language Applicable to Contracts Entered into <br />After August 1, 2017 Under a Major Disaster or Emergency Declaration <br />The following provides a sample contract clause: <br />In compliance with section 1225 of the Disaster Recovery Reform Act of 2018, the (insert name <br />of the non-federal entity)and the Contractor acknowledge and agree that no language in this <br />contract is intended to prohibit audits or internal reviews by the FEMA Administrator or the <br />Comptroller General of the United States.” <br />2.Changes <br />To be allowable under a FEMA grant or cooperative agreement award, the cost of any contract <br />change, modification, amendment, addendum, change order, or constructive change must be <br />necessary, allocable, within the scope of the grant or cooperative agreement, reasonable for the <br />scope of work, and otherwise allowable.67 <br />2.1 Applicability <br />FEMA recommends that all contracts include a changes clause that describes how, if at all, changes <br />can be made by either party to alter the method, price, or schedule of the work without breaching the <br />contract. The language of the clause may depend on the nature of the contract and the procured <br />item(s) or service(s). The NFE should also consult their servicing legal counsel to determine whether <br />and how contract changes are permissible under applicable state, local, or tribal laws or regulations. <br />3. DHS Seal, Logo, and Flags <br />Recipients must obtain permission before using the DHS seal(s), logos, crests, reproductions of <br />flags, or likenesses of DHS agency officials.68 <br />3.1 Applicability <br />FEMA recommends that all NFEs include in their contracts a statement that a contractor shall not <br />use the DHS seal(s), logos, crests, or reproductions of flags or likenesses of DHS agency officials <br />without FEMA’s pre-approval. <br />3.2 Suggested Language <br />The following provides a sample contract clause: <br /> <br />67 See 2 C.F.R. § 200.403. <br />68 See DHS Standard Terms and Conditions, available at https://www.dhs.gov/publication/fy15-dhs-standard- <br />terms-and-conditions. <br />ATTY/AGR.2025.317/Wood Rodgers, Inc.
