REV: 08-25-25 LF AMENDMENT NO. 3 TO HYLAND SOFTWARE MASTER SOFTWARE LICENSE, SUPPORT AND SERVICES AGREEMENT (Hyland Software Inc.) This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of ____________________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Hyland Software, Inc., an Ohio corporation (“Hyland”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Hyland Software Master Software License, Support and Services Agreement, dated as of January 24, 2018, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement, dated as of March 25, 2020 (“Amendment No.1”) and Amendment No.2 to the Original Agreement dated as of December 11, 2024 (“Amendment No.2”) (the Original Agreement and Amendments No. 1 and 2 are collectively known as the “Agreement”). C. While the Agreement expired on May 31, 2025, the Parties continued to work together in good faith under the terms of the Agreement to ensure continuation of Maintenance and Support Services described under the Agreement. The Parties now wish to formally renew the Agreement as amended by this Amendment No. 3 and authorize the payments set forth in Exhibit A attached hereto for Maintenance and Support Services. D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No.3, including any terms and conditions of the attached Exhibit “A,” incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Hyland will provide the additional services set forth in Exhibit “A” of this Amendment No.3, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay outstanding maintenance invoice LE01-388821 to Hyland for a not-to-exceed amount of Thirty-One Thousand Five Hundred and Fifty-Nine Dollars and Twenty Cents ($31,559.20) for the provision of all the Maintenance and Support services described in Exhibit “A” of this Amendment No.3, which sum will include all costs or expenses incurred by Hyland. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not-to-exceed amount of Three Hundred Thirteen Thousand Eight Hundred Thirty-Three Dollars and Eighty-One Cents ($313,833.81).
