REV: 08-12-25 VR the terms or conditions of this Grant Agreement, and if Grantee does not cure the default within five (5) days of the Grantor providing written notice specifying the nature of the failure, the Grantor may terminate this Grant Agreement. Should Grantor determine that the termination of this Grant Agreement is required, Grantor shall forward a written notice of such determination to Grantee at least thirty (30) days prior to the effective date of such termination. Grantee shall return all funds unexpended as of the termination date. 9. Notices. Any and all notices permitted or required to be given hereunder shall be deemed duly given upon 1) actual delivery, if delivery is by hand; or 2) delivery into the United States mail if delivery is by postage paid registered or certified (return receipt requested) mail. Each such notice shall be sent to the parties at the address respectively indicated below or to any other address as the respective parties may designate from time to time. Successors and Assigns. It is mutually understood and agreed that this Grant Agreement will be binding upon the Parties and their respective successors. This Grant Agreement may not be assigned by Grantee without the prior consent of Grantor. 11. Paragraph Headings. Paragraph headings as used herein are for convenience only and will not be deemed to be a part of such paragraphs and will not be construed to change the meaning thereof. 12. Jurisdiction and Venue. Any action at law or in equity brought by either of the Parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Mateo, State of California, and the Parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 13. Severability. Each paragraph and provision of this Grant Agreement is severable from each other provision, and if any provision or part thereof is declared invalid, the remaining provisions shall nevertheless remain in full force and effect. 14. Entire Grant Agreement. This Grant Agreement, together with any other written document referred to or contemplated by it; embody the entire Grant Agreement and ATTY/AGR.2025.209/Redwood City Pal Center (Grant Agreement 2024-2025) (Page 4 of 7)
