REV: 08-12-25 VR <br />the terms or conditions of this Grant Agreement, and if Grantee does not cure the default <br />within five (5) days of the Grantor providing written notice specifying the nature of the failure, <br />the Grantor may terminate this Grant Agreement. Should Grantor determine that the <br />termination of this Grant Agreement is required, Grantor shall forward a written notice of such <br />determination to Grantee at least thirty (30) days prior to the effective date of such termination. <br />Grantee shall return all funds unexpended as of the termination date. <br />9. Notices. Any and all notices permitted or required to be given hereunder shall <br />be deemed duly given upon 1) actual delivery, if delivery is by hand; or 2) delivery into the <br />United States mail if delivery is by postage paid registered or certified (return receipt <br />requested) mail. Each such notice shall be sent to the parties at the address respectively <br />indicated below or to any other address as the respective parties may designate from time to <br />time. <br />To Grantor: Kristina Bell <br />Chief of Police <br />1301 Maple <br />Street <br />Redwood City, CA 94063 <br />To Grantee: Ivan Martinez, Executive Director <br />Redwood City Police Activities League <br />3399 Bay Road <br />Redwood City, CA 94063 <br />Each party will notify the other immediately of any changes of address that would require <br />any notice or delivery to be directed to another address. <br />10. Successors and Assigns. It is mutually understood and agreed that this Grant <br />Agreement will be binding upon the Parties and their respective successors. This Grant <br />Agreement may not be assigned by Grantee without the prior consent of Grantor. <br />11. Paragraph Headings. Paragraph headings as used herein are for convenience <br />only and will not be deemed to be a part of such paragraphs and will not be construed to <br />change the meaning thereof. <br />12. Jurisdiction and Venue. Any action at law or in equity brought by either of the <br />Parties for the purpose of enforcing a right or rights provided for by this Agreement will be <br />tried in a court of competent jurisdiction in the County of San Mateo, State of California, and <br />the Parties waive all provisions of law providing for a change of venue in these proceedings <br />to any other county. <br />13. Severability. Each paragraph and provision of this Grant Agreement is <br />severable from each other provision, and if any provision or part thereof is declared invalid, <br />the remaining provisions shall nevertheless remain in full force and effect. <br />14. Entire Grant Agreement. This Grant Agreement, together with any other written <br />document referred to or contemplated by it; embody the entire Grant Agreement and <br />ATTY/AGR.2025.209/Redwood City Pal Center (Grant Agreement 2024-2025) (Page 4 of 7)
