Lender: City Manager City of Redwood City 1017 Middlefield Road Redwood City, CA 94063 and Housing Manager City of Redwood City 1017 Middlefield Road Redwood City, CA 94063 Borrower: Martha Moreno and Adelina Moreno 142 Center Street Redwood City, CA 94061 (k) Each Party's Role in Drafting the Agreement. The Parties have read and reviewed this Agreement and agree that any rule of construction to the effect that ambiguities are to be resolved against the drafting party (including but not limited to California Civil Code Section 1654 as may be amended from time to time, or any other state law, or common law principle) shall not apply to the interpretation of this Agreement, (1) Lender Approval. Any consents or approvals required under this Agreement shall not be unreasonably withheld or made, except where it is specifically provided that a sole discretion standard applies. (in) Parties Not Co -Venturers; Independent Contractor; No Agency Relationship; No Third -Party Beneficiaries. Nothing in this Agreement is intended to or shall establish the Parties as partners, co -venturers, or principal and agent with one another. The relationship of Borrower and the Lender shall not be construed as a joint venture, equity venture, partnership or any other relationship. The Lender neither undertakes nor assumes any responsibility or duty to Borrower (except as expressly provided in this Agreement) or to any third party. This Agreement is not intended to, nor shall it establish any third -party beneficiaries. Borrower shall at no time pretend to be or hold himself or herself out as an employee or agent of the Lender. Except as the Lender may specify in writing, Borrower shall not have any authority to act as an agent of the Lender or to bind the Lender to any obligation. (n) Non -Liability of the Lender and Lender Officials Employees and Agents. No member, official, employee or agent of the Lender shall be personally liable to Borrower or any successor in interest, in the event of any default or breach by the Lender, or for any amount of money which may become due to Borrower or Borrower's successor or for any obligation of the Lender under this Agreement.
