REV: 10-31-25 LF AMENDMENT NO. 1 TO SOFTWARE AS A SERVICE (SAAS) PROCUREMENT AND PROFESSIONAL SERVICES AGREEMENT BENEVATE, LLC. (dba NEIGHBORLY SOFTWARE) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________, 2025, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Benevate, LLC (dba Neighborly Software) (formerly Benevate, Inc.), a Delaware limited liability corporation (“Provider”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Software as a Service Procurement and Professional Services Agreement, dated as of October 18, 2024, (the “Agreement”). B. The Parties continued to work together in good faith under the terms of the Agreement that expired on October 17, 2025, to ensure continuation of the Software and Services beyond October 17, 2025. The Parties now wish to memorialize the extension of the Agreement by this Amendment No. 1. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Provider a not-to-exceed amount of Sixteen Thousand Dollars ($16,000) for providing the Software and Services described in Exhibit “A” of the Agreement, which sum will include all costs or expenses incurred by Provider. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Forty-Six Thousand Dollars ($46,000). 2. The term of the Agreement is hereby extended for an additional 1 year period. Including all extensions through this Amendment No. 1, the total term of the Agreement is 2 years, expiring on October 17, 2026. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Provider pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Provider each represent and warrant that they have the legal power, right and actual authority to bind Provider to the terms and conditions of this Amendment No. 1.
