GRANT DEED
<br />For valuable consideration, the receipt of which is hereby acknowledged,
<br />The Redevelopment Agency of the City of Redwood City, a public body, corporate
<br />and politic, of the State of California (the "Grantor"), pursuant to and in accordance with the
<br />Community Redevelopment Law of the State of California, hereby grants to On Broadway Redwood
<br />City, LLC, a California limited liability company (the "Grantee"), the real property located in the
<br />County of San Mateo, California (the "Property") legally described in the document attached hereto,
<br />labeled Exhibit A, and incorporated herein by this reference, subject to the following:
<br />1. The Property is conveyed in accordance with and subject to that certain Amended
<br />and Restated Disposition and Development Agreement for Downtown Retail -Cinema and Parking
<br />Project, dated January 8, 2003, entered into by and between the Grantor, the City of Redwood City
<br />(the "City") and BHV Innisfree Ventures I, LLC. The parties thereto subsequently entered into that
<br />certain First Implementation Agreement to Amended and Restated Disposition and Development
<br />Agreement, dated as of February 24, 2003, and that certain Second Implementation Agreement to
<br />Amended and Restated Disposition and Development Agreement, dated as of September 23, 2003.
<br />These three documents together are referred to hereinafter as the "Agreement." BHV assigned its
<br />rights and obligations in and under the Agreement to the Grantee by way of an Assignment and
<br />Assumption Agreement dated as of May 5, 2004.
<br />2. The Grantee covenants by and for itself, its heirs, executors, administrators and
<br />assigns, and all persons claiming under or through them, that there shall be no discrimination against
<br />or segregation of any person or group of persons on account of race, color, creed, religion, sex, age,
<br />marital status, national origin, ancestry, sexual orientation or domestic partnership arrangement in
<br />the sale, lease, sublease, transfer, use, occupancy, tenure or enjoyment of the Property, or through
<br />it, establish or permit any such practice or practices of discrimination or segregation with reference
<br />to the selection, location, number, use or occupancy of tenants, lessees, subtenants, sublessees or
<br />vendees in the Property. This covenant runs with the land in perpetuity.
<br />All deeds, leases or contracts made relative to the Property, shall contain the
<br />following nondiscrimination clauses:
<br />(a) In deeds: "The grantee herein covenants by and for himself, his heirs,
<br />executors, administrators and assigns, and all persons claiming under or through them, that
<br />there shall be no discrimination against or segregation of any person or group of persons on
<br />account of race, color, creed, religion, sex, age, marital status, national origin, ancestry,
<br />sexual orientation or domestic partnership arrangement in the sale, lease, sublease, transfer,
<br />use, occupancy, tenure or enjoyment of the land herein conveyed, nor shall the grantee,
<br />himself, or any person claiming under or through him, establish or permit any such practice
<br />or practices of discrimination or segregation with reference to the selection, location,
