KREAGER FAMILY TRUST <br />UTA DATED MARCH 13, 1989 <br />APN: 052-431-020 (portion of) <br />PROJECT PARCEL NO. 64075 <br />PROJECT: US HIGHWAY 101 / STATE ROUTE 84 (WOODSIDE ROAD) INTERCHANGE IMPROVEMENT PROJECT <br /> <br />ATTY/RESO.0127/CC RESO.1485 VETERANS BLVD (PURCHASE AGREEMENT) – EXHIBIT A <br />REV: 12-11-25 VR <br />Page 2 of 17 <br />C. Pay all escrow and recording fees incurred in this transaction and, if title insurance is <br />desired by CITY, the premium charged, therefore. (Said escrow and recording charges <br />shall not, however, include documentary transfer tax.) <br /> <br />D. This transaction will be handled through an escrow by First American Title Insurance <br />Company at 2230 East Bidwell Street, Suite 100, Folsom, CA 95630, for the account of <br />the GRANTOR, Escrow No. is to be determined, conditioned upon the Subject Property <br />vesting in the CITY. <br /> <br />E. The consideration set forth in Clause 2A herein shall include payment in full for the <br />following improvements: All buildings, structures and other improvements affixed to the <br />land which are owned by GRANTOR as owner or the TENANT of the real property <br />proposed to be acquired will also be conveyed unless other disposition of these <br />improvements has been made. Specifically, Asphalt Paving (120+/- SF) within the <br />Subject property. <br /> <br />3. Temporary Construction Easement (Non-Revocable) <br />A. The Temporary Construction Easement is as defined in Exhibit “2”. <br /> <br />B. In the event GRANTOR sells, conveys or assigns the property of which the Subject <br />Property is a part, GRANTOR shall notify the successor or assigner of the rights and <br />obligations contained in this Agreement. <br /> <br />4. Work Performed <br />All work done under this Agreement shall conform to all applicable building, fire and sanitary <br />laws, ordinances, and regulations relating to such work, and shall be done in a good and <br />workmanlike manner. All structures, improvements or other facilities, when removed, and <br />relocated, or reconstructed, shall be left in as good condition as found. <br /> <br />5. Hazardous Wastes <br />The Purchase Price reflects the fair market value of the Subject Property without the presence <br />of contamination. If the Subject Property being acquired is found to be contaminated by the <br />presence of hazardous waste which requires mitigation under Federal or State law, the CITY <br />may elect to recover its clean-up costs from those who caused or contributed to the <br />contamination. GRANTOR shall indemnify, defend, save and hold harmless the CITY from any <br />and all claims, costs and liability, including reasonable attorney's fees, for any damage, injury or <br />death to persons or property arising directly or indirectly from or connected with the existence of <br />toxic or hazardous material that GRANTOR or their tenant knowingly disposed of at the Subject <br />Property. <br /> <br />6. Right of Possession and Use <br /> <br />It is agreed and confirmed by the parties hereto that notwithstanding other provisions in this <br />contract, the right of possession and use of the subject property by the CITY , including the right <br />to remove and dispose of improvements, shall commence on the date the amount of funds as <br />specified in Clause 2(A) herein are deposited into the escrow controlling this transaction and <br />after ten days (10) written notice has been provided to GRANTOR.
