Page 10 of 10 EXHIBIT B CONSENT TO ASSIGNMENT OF CONTRACT The undersigned hereby executes this Consent to Assignment of Contract (this “Consent”) to the foregoing Assignment of Contracts executed by _________________________, a ____________________ (“Assignor”), to and for the benefit of the City of Redwood City, a California charter city (the “City” also referred to as the “Assignee”), dated as of the date hereof (the “Assignment”). The undersigned agrees to perform pursuant to the terms and conditions of the undersigned’s Agreement with Assignor (the “Agreement”) described in Exhibit A attached to the Assignment. If requested by Assignee in the exercise of its rights under the Assignment, the undersigned shall continue to perform its obligations under the Agreement in accordance with the terms thereof for which the undersigned shall be compensated in accordance with its Agreement. The undersigned also agrees that, in the event of a breach by Assignor of any of the terms and conditions of the Agreement, the undersigned will give prompt written notice of such breach to Assignee at Assignee' address provided to undersigned. Assignee shall have thirty (30) days from the receipt of such notice of default to remedy or cure such default, provided, however that neither the Assignment nor this Consent shall require Assignee to cure such default, but Assignee shall, in its sole discretion, have the option to do so. The undersigned acknowledges that the City has the right to approve certain change orders for the Affordable Development in accordance with Section 8.5 of the Land Donation Agreement. The undersigned acknowledges that Assignee are relying on this Consent and the assurances herein in entering into the Land Donation Agreement and this Consent shall also be for the benefit of and bind Assignee and any successors of Assignee and the undersigned. All capitalized terms used in this Consent shall have the same meaning as in the Assignment. The undersigned represents and warrants that the Agreement between Assignor and the undersigned is in full force and effect as of the date hereof.
