Legal 1 Costs. If any suit, action, or proceeding is brought by either party against the <br />other party in connection with or arising out of or related to this Agreement or in connection with <br />the transactions contemplated hereby, the prevailing party shall be entitled to recover from the <br />other party, in addition to all other remedies to which the prevailing party may be entitled, its <br />reasonable out-of-pocket costs and expenses, including, without limitation, reasonable attorneys' <br />fees, incurred in connection with the prosecution or defense of the suit, action, or proceeding. <br />9. Not a Public Dedication. Nothing contained in this Agreement shall be deemed to <br />be a gift or dedication of any portion of the properties described herein to or for the general public <br />or for any public purpose whatsoever; it being the intention of the Stanford and City that the <br />easement granted herein shall be strictly limited to and for the purposes herein expressed. <br />10. Entire Agreement, Modification,• Waiver. This Agreement constitutes the entire <br />agreement between City and Stanford pertaining to the subject matter contained in it and <br />supersedes all prior and contemporaneous agreements, representations, and understandings. No <br />supplement, modification, or amendment of this Agreement shall be binding unless executed in <br />writing by all the Parties. No waiver of any of the provisions of this Agreement shall be deemed <br />or shall constitute a waiver of any other provision, whether or not similar, nor shall any waiver <br />constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party <br />making the waiver. <br />11. Covenant Running with the Land. This Agreement and the rights, duties and <br />obligations of the Parties hereto shall be construed as covenants running with the land pursuant to <br />ATTY/AGR/2025.263 — ENCROACHMENT EASEMENT DEED STANFORD <br />REV: 10-07-25 VR <br />Page 5 of 11 <br />
