Code § 27383] GRANT DEED This Grant Deed is made on C;4,*a1QeX 31 , 2025 by and between Metropolitan Life Insurance Company, a New York corporation ("Grantor") and City of Redwood City, a municipal corporation ("City") with reference to the following facts: A. Grantor is the fee owner of the property identified as Assessor Parcel Numbers 054-320-080, 054-320-090, 054-320-100, 054-320-110, 054-320-140, 054-320-210, 054-320- 220, 054-320-230, 054-320-240, 054-320-160, 054-320-250, 054-320-260, 054-320-300, 054- 320-190, and 054-320-200 (collectively, "MetLife Property"). B. In 1984, Grantor and a neighboring property owner's predecessors in interest constructed levee improvements and flood protection facilities along the perimeters of the MetLife Property and certain adjacent properties (the "Original Seaport Centre Levee"), and the City accepted ownership of the Original Seaport Centre Levee and related storm drain, water, and sanitary sewer facilities by a Deed of Conveyance dated December 16, 1985, recorded on January 10, 1986 as Instrument Number 86003623 ("Original Grant Deed"). C. Pursuant to a Levee Financing and Improvement Agreement between Grantor, City, HCP LS Redwood City, LLC ("HCP"), and Seaport Centre Owners' Association ("SCOA") dated October 27, 2020, as amended by that certain First Amendment to Levee Financing and Improvement Agreement dated December 13, 2021 and the Second Amendment to the Levee Financing and Improvement Agreement dated.0&+26e4L 212025, SCOA improved the Original Seaport Centre Levee and constructed new levee improvements and related flood protection facilities along the perimeter of Assessor Parcel Number 054-320-540 (collectively, the "Levee Improvement Project") to provide greater flood protection to the Met Life Property, the property owned by HCP, and certain adjacent property owned by City. City also agreed to accept ownership of the completed improvements contemplated by the Levee Improvement Project. D. The Levee Improvement Project is now complete and Grantor desires to grant City the Current Levee Improvements (defined below), as further described herein.
