FIRST AMENDMENT TO LEASE <br />(Clean Harbors Environmental Services, Inc.) <br />THIS FIRST AMENDMENT to Lease Agreement (the "First Amendment") <br />entered into and dated, January 26, 2022, for reference purposes, amends that certain <br />Lease Agreement dated April 13th 2011, by and between the City of Redwood City by <br />and through its Board of Port Commissioners (hereinafter referred to as "Landlord") and <br />Clean Harbors Environmental Services, Inc. (hereinafter referred to as "Tenant"), and <br />approved by the Board of Port Commissioners on April 13, 2011 by Ordinance No. P- <br />246, the term of which was extended via letter dated October 12, 2015 and letter dated <br />February 19, 2016 (collectively, the "Lease") for the premises commonly known and <br />numbered as 695 Seaport Blvd, Redwood City, California (hereinafter referred to as <br />"Premises"). The October 12, 2015 and the February 19, 2016, letters referred to above <br />are attached hereto and marked Exhibit "A." The Lease is incorporated by this reference. <br />WHEREAS, Landlord and Tenant wish to further amend the Lease to provide for <br />an extended term. <br />NOW, THEREFORE, in consideration of the mutual covenants contained <br />herein, and for other good and valuable consideration, the receipt and sufficiency of <br />which are hereby acknowledged, the Landlord and Tenant agree that the Lease shall be <br />amended as follows: <br />1. The Term of the Lease is hereby extended for five (5) years, commencing <br />April 1" 2021 and terminating March 31st 2026 (the "Extended Period"). <br />2. Rent for the Extended Period shall be paid in accordance with the following <br />schedule: <br />Extension Lease Year 1 (April 1, 2021 <br />Extension Lease Year 2 (April 1, 2022 <br />Extension Lease Year 3 (April 1, 2023 <br />Extension Lease Year 4 (April 1, 2024 <br />Extension Lease Year 5 (April 1, 2025 <br />March 31, 2022) - $15,159/month <br />March 31, 2023) - $15,765/month <br />March 31, 2024) - $16,396/month <br />March 31, 2025) - $17,052/month <br />March 31, 2026) - $17,734/month <br />3. The Minimum Guarantee set forth in Section 4(b) of the Lease is increased to <br />FOUR THOUSAND FOUR HUNDRED DOLLARS and NO CENTS ($4,400.00) per <br />month. The Minimum Guarantee is subject to annual increase(s) as determined in <br />good faith by Landlord's Board or Landlord's Executive Director. In no event shall <br />the annual increase(s), as to each Lease Year, be greater than 5% over the preceding <br />Lease Year Minimum Guarantee. <br />4. The Security Fee payable monthly per Section 5(a) of the Lease is hereby <br />increased to FOUR HUNDRED DOLLARS and NO CENTS ($400.00) per month, <br />payable in advance to Landlord.
