received pursuant to Section 3 below or (b) the Contract has been sooner terminated in accordance <br />with the provisions herein. <br />3. Notice of Nonrenewal <br />a) If either Owner or City desires in any year not to renew the Contract, that parry shall <br />serve written notice of nonrenewal of the Contract on the other party in advance of the annual <br />Renewal Date of the Contract. Unless such notice is served by Owner to City at least ninety <br />(90) days prior to the annual Renewal Date, or served by City to Owner at least sixty (60) days <br />prior to the annual Renewal Date, one (1) year shall be automatically added to the Term of the <br />Contract pursuant to Section 2 of this Contract. <br />b) Upon receipt by Owner of a notice of nonrenewal from City, Owner may make a written <br />protest of the notice of nonrenewal. City may, at any time prior to the Renewal Date, withdraw <br />the notice of nonrenewal. <br />C) If either City or Owner serves notice of intent in any year not to renew the Contract, the <br />existing Contract shall remain in effect for the balance of the period remaining since the original <br />execution or the last renewal of the Contract, as the case may be. <br />4. Standards for Historical Prop. During the Term of this Contract, the Historic Property <br />shall be subject to the following conditions, requirements and restrictions: <br />a) Owner shall, at Owner's own cost and expense, complete, or cause to be completed, <br />the work or improvements described in the attached Schedule of Improvements, attached <br />hereto as Exhibit "B", according to certain standards and requirements. Such standards and <br />requirements shall include, but not be limited to: City's Minimum Maintenance Standards for <br />Historic Properties, attached hereto as Exhibit "C" (the "City Minimum Standards"); the <br />Secretary of the Interior's Standards for the Treatment of Historic Properties, attached hereto <br />as Exhibit "D" (the "Secretary's Standards"); the rules and regulations of the Office of Historic <br />Preservation of the California Department of Parks and Recreation ("OHP Rules and <br />Regulations"); the State Historical Building Code as determined applicable by City; Chapter 40 <br />of the Redwood City Code; all applicable building safety standards; and the requirements of <br />City's Planning Manager, Historic Resources Advisory Committee, Planning Commission and <br />City Council. All enumerated work or improvements will be completed by December 31 of the <br />year for which such work or improvement is listed in Exhibit "B", provided however that City <br />may, in its sole discretion, extend the deadline for completion of any such work or improvement. <br />The Owner shall secure any and all permits which may be required by City, or any other <br />governmental agency affected by the construction of the work or improvements. Owner accepts <br />responsibility for and shall be responsible for identification of and compliance with all applicable <br />laws pertaining to the construction and installation of the work or improvements described on <br />Exhibit "B" and the contract or contracts pertaining thereto. Owner will not seek to hold nor hold <br />City liable for, and will hold City harmless with respect to, any consequences of any failure by <br />Owner to correctly determine the applicability of any such requirements to any contract into <br />which Owner enters. For the sake of clarity, though the timeline contained in Exhibit "B" only <br />runs through 2035, Owner shall continue to be bound by the requirements of Section 4(b) of <br />this Contract through the entire Term of this Contract, including any renewal terms. <br />b) Owner shall maintain and preserve the Historic Property and its character defining <br />features throughout the Term of this Contract according to certain standards and requirements. <br />Such standards and requirements include the City Minimum Standards; the Secretary's <br />Standards; the OHP Rules and Regulations; the State Historical Building Code as determined <br />applicable by City; Chapter 40 of Redwood City Code; all applicable building safety standards; <br />REV: 10-22-25 VR <br />ATTY/AGR.2025.284/1018 and 1020 Main Street (Page 2 of 12) <br />
