of City's Risk Manager. In no event will City commence any work or provide <br />any Services under this Agreement until certificates of insurance and <br />endorsements have been accepted by City's Risk Manager. <br />8.1,5 Failure to Maintain Coverage. if SUHSD fails to comply with these <br />insurance requirements, then City will have the option to declare that Party <br />in breach and/or terminate this Agreement. <br />8.1.6 Submission of Insurance Policies. City reserves the right to require, <br />at any time, complete copies of any or all required insurance policies and <br />endorsements. <br />9. Dispute Resolution. <br />Should any dispute arise out of this Agreement, the Parties agree to attempt to <br />reach a resolution with the assistance of a mutually acceptable mediator before resorting <br />to litigation. Costs for mediation shall be equally shared among the Parties. If a mediated <br />settlement is reached, no Party shall be considered the prevailing party for the purpose <br />of the resolution of the dispute. No Party shall be permitted to file legal action without first <br />participating in mediation in a good faith attempt to reach a mediated resolution. Each <br />Party will bear their own attorney's fees, if any. <br />10. Relationship of Parties. <br />10.1 Reimbursement to the City in exchange for staffing the SLQ does not <br />constitute employment of the officer, and no "special relationship", as that term <br />may defined by law, is created or established with SUHSD, or its respective <br />officers, employees, or successors, or with any third party as a result of this <br />Agreement. Further, nothing in this Agreement is intended to or shall in any <br />manner affect or limit the privileges or immunities or other protections accorded to <br />the City or its employees under federal law or state law or other law. <br />101.2 Nothing in this Agreement is intended to, nor shall it shift to City any legal <br />responsibilities, if any, that SUHSD may have to the public or to others present on <br />its premises. <br />10.3 Neither party nor any of the party's agents, contractors or subcontractors <br />am or shall be considered to be agents of the other in connection with the <br />performance of any obligations under this Agreement. <br />11.
