15. Interpretation. This Agreement shall be construed and enforced pursuant to the laws of <br />the State of California. The Parties hereto acknowledge that this Agreement has been negotiated at arm's <br />length, that each party has been represented by independent counsel and that this Agreement has been <br />drafted by both Parties and no one party shall be construed as the draftsperson. <br />16. Amendment and Termination. This Agreement shall continue in effect in perpetuity <br />and can only be amended, in whole or in part, or terminated with the written consent of the Zoning <br />Administrator obtained at least sixty (60) days prior to the amendment or termination date.
