REV: 01-20-26 LF <br />AMENDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT <br />(TruePoint Solutions LLC) <br />This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as <br />of _________________, 2026, by and between the City of Redwood City, a charter city <br />and municipal corporation of the State of California (“City”), and TruePoint Solutions LLC <br />dba GovPath, a California limited liability company (“Consultant”) (collectively, the <br />“Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Professional Services <br />Agreement, dated as of May 21, 2019, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement, dated as of April 7, 2021 (“Amendment No. 1”). The Original Agreement and <br />Amendment No. 1 are collectively known as the “Agreement”. <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit <br />“A,” incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Three Hundred Thirty- <br />Five Thousand Nine Hundred Twenty-Five Dollars and Ninety-Four Cents ($335,925.94) <br />for the completion of all the services described in the Original Agreement and Exhibit “A” <br />of this Amendment No. 2, which sum will include all costs or expenses incurred by <br />Consultant. Including all amendments through Amendment No. 2, the total amount <br />payable under the Agreement will be a not-to-exceed amount of One Million One Hundred <br />Two Thousand Eight Hundred Five Dollars and Ninety-Four Cents ($1,102,805.94). <br />2. Section 1.9 and Section 9.2 of the Original Agreement are hereby deleted <br />in its entirety. The term of the Agreement is hereby extended for an additional five (5) <br />year period (“Renewal Term”). Unless terminated earlier, the Agreement will expire on <br />November 30, 2030. The City Manager may amend the Agreement to extend it for two <br />additional one (1) year periods in an amount not to exceed Seventy-Two Thousand Ninety <br />Seven Dollars and Seventy Eight Cents ($72,097.78) for the first extension term and <br />Seventy Three Thousand Three Hundred Fifteen Dollars and Seventy One Cents <br />($73,315.71) for the second extension term. Any extension will require a written <br />amendment executed by both parties indicating the effective date and length of the <br />extension term. <br />ATTY/AGR.2025/Amend.
