11. Authority. The persons who have executed this Fourth Amendment represent and <br />warrant that they are duly authorized to execute this Fourth Amendment in their individual or <br />representative capacity. <br />12. Joint Drafting. This Fourth Amendment is the result of the joint efforts and <br />negotiations of the Parties hereto, and no single Party is the author or drafter hereof. The Parties <br />assume joint responsibility for the form and position of each and all of the contents of this Fourth <br />Amendment and they agree that this Fourth Amendment shall be interpreted as though each of the <br />Parties participated in the drafting of this Fourth Amendment and each and every part thereof. <br />13. Interpretation. In the event of any conflict or inconsistency between the terms of <br />this Fourth Amendment and the terms of the Development Agreement, the terms of this Fourth <br />Amendment shall control. <br />14. Ratification. Except as expressly modified by this Fourth Amendment, the <br />Development Agreement remains in full force and effect. <br />15. Effective Date and Recordation. The "Fourth Amendment Effective Date" of <br />this Fourth Amendment shall be the date which is thirty (30) days after City Council adoption of <br />the ordinance approving this Fourth Amendment. The Parties shall cause this Fourth Amendment <br />to be recorded in the Official Records of San Mateo County within ten (10) days of the Fourth <br />Amendment Effective Date. <br />16. Execution in Counterparts.
