REV: 02-05-26 LF <br />EXHIBIT “A” <br />GOODS AND SERVICES, PAYMENT TERMS AND INSURANCE <br />I. GOODS AND SERVICES <br />Vendor shall sell Goods to the City from the categories listed below on an as <br />needed basis. In instances where shipping charges must be charged to City, this <br />shall be noted at time of order. <br />II. PAYMENT TERMS <br />The total cost of Goods purchased under this Master Purchase Agreement shall <br />be in an amount not to exceed One Hundred Eight Thousand Dollars ($108,000). <br />Parts shall be billed at Dealer Cost plus a percent mark-up not to exceed 15% as <br />established in Sourcewell Contract #080124-FMC. Dealer Cost is the price for <br />parts charged to authorized Ford Dealers, established by the Ford Motor Company <br />under its National Fleet Pricing Program and Sourcewell Contract #080124-FMC. <br />Percent mark-up for parts shall be applied for the entire term of this Master <br />Purchase Agreement as follows: <br />Category % Mark-Up on <br />Dealer Cost <br />All Ford OEM parts except Powertrain 14% <br /> Ford Powertrain parts (replacement engines and <br />transmissions) <br />10% <br />All mark-up shall be applied to Dealer Cost in effect at time of purchase. <br />Invoices shall be mailed and delivery shall be made to the following address: <br />City of Redwood City <br />Attention: Fleet Supervisor <br />1400 Broadway <br />Redwood City, CA 94063 <br />III.INSURANCE <br />1. Insurance. Vendor will obtain and maintain for the duration of the Master <br />Purchase Agreement and any and all amendments, insurance against claims for <br />injuries to persons or damage to property, which may arise out of or in connection <br />with delivery of the Goods or performance of the Services by Vendor or Vendor’s <br />agents, representatives, employees or subcontractors. The insurance carrier is <br />required to maintain an A.M. Best rating of not less than “A-: VII”. <br />1.1 Coverages and Limits. Vendor, at its sole expense, will maintain the <br />types of coverages and minimum limits indicated below, unless otherwise <br />approved by City in writing.
