term, shall be in writing, subject to approval by the Developer, City Attorney, and the City <br />Manager is authorized to make said amendments on behalf of the City. <br />1. Essential Terms. In addition to other terms and general obligations <br />as provided in Exhibit H, the Parties agree and acknowledge that the Teen Center Lease Agreement <br />shall include the following key and essential terms: <br />a. City's Exclusive Use of Teen Center; Teen Center Hours. <br />The Teen Center Lease Agreement shall provide the for the following: During the school academic <br />year designated for the Sequioa Union High School District, the Teen Center shall be leased to the <br />City without rent for its exclusive use during the hours of at least 2:00 p.m. to 11:59 p.m. on <br />Mondays through Fridays, and 7:00 a.m. to 1 1.59 p.m. on weekends; and, during the summer <br />school break for the Sequoia Union High School District, the Teen Center shall be leased to the <br />City without rent for its exclusive use during the hours of at least 11:00 a.m. to 11:59 p.m. on <br />Mondays through Fridays, and 7:00 a.m. to 1 L59 p.m. on weekends (hereinafter collectively <br />referred to as "Teen Center Hours"). The Parties acknowledge that the City may operate the Teen <br />Center with a third -party operator, and that the City or its operator may access the Teen Center <br />office space and storage areas before the Teen Center Hours for set-up, preparation, and/or <br />discussions with staff. The City or its designated operator shall be responsible' for all programming <br />and staffing of the Teen Center, as well as administrating and managing the City's use of the Teen <br />Center during the Teen Center Hours. At such times, the City shall be solely responsible for the <br />use and operation of the Teen Center space, including restoring the space to the condition it was <br />in and maintaining, repairing and/or replacing any damage to the facilities or improvements therein <br />caused by the City's use. The City shall provide adequate insurance and shall indemnify and hold <br />the Developer, and any tenant of the Property, harmless for the City's use of the Teen Center, <br />including the actions of guests and members of the public entering or using the Teen Center. <br />b. Tenant Use. Other than the times designated for Teen Center <br />Flours, the Developer, tenants of the Property or other parties authorized by the Developer (and/or <br />tenant of the Property) may reserve the Teen Center during times that do not conflict with the <br />City's use. At such times, Developer shall be solely responsible for the use and operation of the <br />Teen Center space, including restoring the space to the condition it was in and maintaining, <br />repairing and/or replacing any damage to the facilities or improvements therein caused by the <br />tenant's use. <br />C. Quarterly Meetings and Special Events. Once a quarter, or <br />as may be adjusted by written agreement of the Developer and City overtime pursuant to the Teen <br />Center Lease Agreement, the Property's office manager and the City shall meet to review <br />operations and to consider requests by the City or by the Developer or a tenant of the Property for <br />additional use hours or for special events. If all parties agree in writing to mutually agreeable terms, <br />the City may use the Teen Center during school winter and spring breaks during the same times <br />designated for the Teen Center Hours; and, the tenants of the Property may use the Teen Center <br />during agreed upon times for special events during the times designated for the Teen Center Hours. <br />d. Teen Center Staff and Bike Parking. As specified in the <br />Project Approvals, the Developer shall provide parking to all designated Teen Center staff to use <br />the Project's parking garage free of charge.
