EXHIBIT F <br />FORM OF ASSIGNMENT OF CONTRACTS <br />ASSIGNMENT OF CONTRACTS AGREEMENT <br />This ASSIGNMENT OF CONTRACT (this "Assignment Agreement") is made as of <br />20_ (the "Effective Date"), by City of Redwood City, a California charter city <br />(the "City"), [Insert Qualified Designee Name], a [Insert Qualified Designee entity], and its <br />permitted successors and assigns (the "Assignor"). The City shall hereinafter be referred to as the <br />"Assignee". This Assignment is entered into with reference to the following facts: <br />RECITALS <br />A. The Assignor, the Assignee, and [Insert Donor Legal Name], a [Insert Donor legal <br />entity] ("Donor") have entered into that certain Affordable Housing Land Donation Agreement <br />dated as of , 20_ (the "Land Donation Agreement"). Capitalized terms <br />used, but not defined, in this Assignment shall have the meaning set forth in the Land Donation <br />Agreement. <br />B. Assignor is required to enter into this Assignment Agreement and assign and pledge <br />to Assignee all of Assignor's rights, title and interests in, to and under those certain contracts listed <br />in the attached Exhibit A, together with any and all existing and future amendments, modifications, <br />supplements, and addenda thereto (collectively, the "Contracts"). <br />NOW TIIEREFORE, in consideration of the foregoing and the mutual representations, <br />warranties, covenants and conditions contained herein, the parties hereto hereby agree as follows: <br />1. Definitions. Capitalized terns that are used but not defined herein shall have the <br />meanings given to such terms in the Land Donation Agreement. <br />2. Obligations Secured. This Assignment is made for the purpose of facilitating <br />performance of all of the duties and obligations of Assignor under the Land Donation Agreement <br />(collectively, the "Assigned Obligations"). <br />3. Assignment. Assignor hereby assigns, conveys and transfers to Assignee, as <br />security for the Assigned Obligations, all of Assignor's right, title and interest in, to and under the <br />Contracts. A complete copy of the Contracts, and any other document listed on Exhibit A shall be <br />provided to Assignee concurrently with delivery of this Assignment, and as necessary to meet the <br />requirements of the Land Donation Agreement. <br />4. Consent. Assignor agrees to obtain and deliver to Assignee, concurrently with its <br />delivery of this Assignment, any necessary consent to the assignment substantially in the form of <br />Exhibit B hereto from the contractors, and any other contractors retained by Assignor in connection <br />with the Affordable Development. This Assignment and the consent to this Assignment shall not <br />relieve Assignor of its obligations under the Contracts.
