of the provisions hereof, or (d) the breach by Assignor of any representation or warranty of <br />Assignor set forth herein. <br />19. Remedies Cumulative. In the event of Assignor's default under this Assignment, <br />the Assignee may exercise all or any one or more of its rights and remedies available under this <br />Assignment, at law or in equity. Such rights and remedies shall be cumulative and concurrent, and <br />may be enforced separately, successively or together, and the exercise of any particular right or <br />remedy shall not in any way prevent the Assignee from exercising any other right or remedy <br />available to the Assignee, including, but not limited to, the remedies set forth in the Land Donation <br />Agreement. The Assignee may exercise any such remedies from time to time as often as may be <br />deemed necessary by the Assignee. <br />20. No Agency or Partnership. Nothing contained in this Assignment shall constitute <br />the Assignee as a joint venturer, partner or agent of Assignor, or render the Assignee liable for any <br />debts, obligations, acts, omissions, representations or contracts of Assignor. <br />21. Entire Agreement; Amendment and Waiver. This Assignment, in conjunction <br />with the Land Donation Agreement, the Affordable Housing Restrictive Covenants Agreement, <br />and the Irrevocable Offer to Dedicate, (to the extent applicable), constitutes the sole understanding <br />of the parties with respect to the subject matter of this Assignment, and may not be amended or <br />modified except in writing signed by the parties. The parties agree that any rule of construction to <br />the effect that ambiguities are to be resolved against the drafting party (including, but not limited <br />to Civil Code Section 1654, as may be amended from time to time) shall not apply to the <br />interpretation of this Assignment. No specific waiver of any of the terms of this Assignment shall <br />be considered as a general waiver. <br />22. Further Assurances. Assignor shall at any time and from time to time, promptly <br />execute and deliver all further instruments and documents, and take all further action that may be <br />reasonably necessary or desirable, or that the Assignee may reasonably request, in order to protect <br />any right or interest granted by this Assignment or to enable the Assignee to exercise and enforce <br />its rights and remedies under this Assignment. <br />23. No Amendment; Conflicts. Nothing contained in this Assignment shall be <br />construed to amend, modify, alter, change or supersede the terms and provisions of the Land <br />Donation Agreement, the Affordable Housing Restrictive Covenants Agreement, and the <br />Irrevocable Offer to Dedicate; and, if there is a conflict between the terms and provisions of this <br />Assignment and those of the Land Donation Agreement, the Affordable Housing Restrictive <br />Covenants Agreement, and the Irrevocable Offer to Dedicate. then the terms and provisions of the <br />Land Donation Agreement, the Affordable Housing Restrictive Covenants Agreement, and the <br />Irrevocable Offer to Dedicate shall control, as applicable. <br />24. Notices.
