Q) "Assignor Obligations" shall have the same meaning as set forth in <br />Section 3.2 of this Partial Assignment. <br />(k) "CEQA" means the California Environmental Quality Act, Public <br />Resources Code Section 21000, et seq. <br />(1) "CEQA Consistency Checklist" shall mean the CEQA Guidelines <br />Section 15183 Consistency Checklist for both the 901 El Camino Real Commercial/Retail Project <br />and the Affordable Housing Project, that was approved by the City of Redwood City Council on <br />20_, by adopting City Resolution No. <br />(m) "Developer" shall also mean the Assignor as defined in this Partial <br />Assignment. <br />(n) "Development Agreement". shall mean the "Development <br />Agreement By and Between City of Redwood City and Assignor in connection with the 901 EI <br />Camino Real Project," approved on , 2025, with the adoption of City Ordinance No. <br />(o) "Effective Date" shall have the same meaning as set forth in Section <br />4.6 of this Partial Assignment. <br />(p) "Land Donation Agreement" shall mean the "Affordable Land <br />Donation Agreement" and its exhibits, entered into between the City, Assignor, and Assignee on <br />,2025. <br />(q) "Partial Assignment" shall mean this Partial Assignment and <br />Assumption of Development Agreement By and Between Assignor and Assignee. <br />(r) "Party" or "Parties" shall mean Assignor and Assignee. <br />Section 1.3 Exhibits. The following Exhibits are attached to this Partial Assignment <br />and are incorporated into this Partial Assignment by reference as if fully set forth herein: <br />Exhibit G-1: Parcel Map and Legal Description of Affordable Site <br />Exhibit G-2: City's Consent to Partial Assignment and Assumption Agreement <br />ARTICLE 2 <br />ASSIGNMENT AND ASSUMPTION <br />Section 2.l Assignment by Assignor. As of the Effective Date of this Partial <br />Assignment, Assignor hereby assigns and delegates to Assignee, Assignor's rights, title, duties, <br />and interests of the Developer under the Development Agreement with respect to the Affordable <br />Site and construction of the Affordable Housing Project in accordance with the Affordable <br />Housing Project Approvals, subject to the obligations set forth in the Land Donation Agreement <br />and Affordability Covenant (Assigned and Assumed Rights and Obligations").
