ATTY/AGR/2026/AMENDMENTS/AMEND. NO. 5 – DOCKTOWN LANDSIDE LICENSE TERMINATION <br />REV: 03-11-26 VR <br />Page 2 of 3 <br />1. Termination. Notwithstanding anything to the contrary in the License Agreement, <br />the License Agreement shall automatically terminate at 9:00 am on April 1, 2026 and may <br />terminate on an earlier date upon at least 48-hour prior written notice by City to Owner. City and <br />Owner agree to promptly provide reasonable documentation confirming termination of the <br />License Agreement upon written request of the other party. City shall comply with Section 8 of <br />the License Agreement prior to termination of the License Agreement. <br /> <br />2. No Further Obligation Related to Marina Access. Upon termination of the <br />License Agreement, City agrees that Owner shall have no further obligations under Section <br />11(c), Marina Access, of that certain Tri-Party Implementation Agreement by and among Owner, <br />the County of San Mateo, and City, dated January 24, 2022 (the “Tri-Party Agreement”). Upon <br />written request of Owner, City agrees to reasonably cooperate to confirm Owner has no further <br />obligations under Section 11(c) of the Tri-Party Agreement. <br /> <br />3. Agreement in Effect. Owner and City acknowledge and agree that the License <br />Agreement, except as amended by this Termination Agreement, remains in full force and effect <br />in accordance with its terms. <br /> <br />4. Electronic Signatures. If both Owner and City agree, electronic signatures may <br />be used in place of original signatures on this Termination Agreement. Owner and City intend to <br />be bound by the signatures on the electronic document, is aware that the other party will rely on <br />the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this <br />Termination Agreement based on the use of an electronic signature. After Owner and City agree <br />to the use of electronic signatures, Owner and City must each sign the document electronically. <br /> <br /> <br /> <br />(Signature page follows)
